Common use of Responsible Parties Clause in Contracts

Responsible Parties. F.3.1. The Contractor is responsible for payment of the income tax, social security contributions and turnover tax due for the Employee placed at its disposal. The Contractor will indemnify the Client against all claims of the tax authorities and/or social insurance agencies due to the Agreement with the Client. The Client must at all times inform the Contractor in writing as soon as possible and provide full cooperation, in the event of a claim as aforementioned. F.3.2. The Contractor accepts no liability for the choice of the placed Employee and/or for the results of work performed under the supervision and management of the Client, unless the Contractor has intentionally failed to fulfil the provisions of article F.1.5. F.3.3. The Client shall be liable for all damage suffered by the placed Employee during or in connection with the work assigned to him. F.3.4. The Client shall indemnify the Contractor against all losses which the Contractor may suffer as a result of claims by third parties, including the placed Employees as well as persons working under the responsibility of Contractor, which are related to the goods delivered or work performed by the Contractor: - damage resulting from unlawful conduct on the part of the Contractor's Employee and persons who work under the Contractor's responsibility and are placed with the Client and work under the Contractor's supervision or on the Contractor's instructions; - damage resulting from unsafe situations in its company, living space or other place of performance of the Agreement (if the secondment takes place at a location other than that of the Client) or from acts or omissions on the part of the Client, including the Client's own interpretation and/or injudicious use of the knowledge, information, products and items provided by the Contractor; - damage resulting from a fault in goods supplied by Contractor which were used, changed or resold by the Client with the addition of or in connection with the Client's own products, software or Services, unless the Client proves that the fault was not the result of use, change or resale as referred to above.
