RESTATEMENT OF PRIOR PERIODS. On March 27, 1998, the Board of Directors engaged special counsel to investigate information first made known to it on March 17, 1998 which it believed could have a material impact on the Company's financial reporting for 1997 and prior periods. As a result of the findings of the special investigation initiated by the Board of Directors in March 1998, the Company restated its consolidated financial statements for 1995 and 1996. In the opinion of management, all material adjustments necessary to correct the financial statements have been recorded. The restatements reflect inventory write-offs and inventory adjustments which should have been recorded in different periods. Also reflected are changes in the time periods in which certain product shipments were recognized as sales. IGI, INC.   • Termination of Prior Agreements The execution of this Agreement shall be deemed to constitute the termination as of the Effective Date of any and all prior agreements between an Acquiring Fund and an Acquired Fund that relates to the investment by any Acquiring Fund in any Acquired Fund in reliance on a participation agreement, exemptive order or other arrangement among the parties intended to achieve compliance with Section 12(d)(1) of the 1940 Act (the “Prior Section 12 Agreements”). The parties hereby waive any notice provisions, conditions to termination, or matters otherwise required to terminate such Prior Section 12 Agreements.

  • Merger of Prior Agreements This Agreement, including the exhibits hereto, constitutes the entire agreement between the Parties and is intended as a complete and exclusive statement of the promises, representations, discussions, and any other agreements that may have been made in connection with the subject matter hereof are superseded by this Agreement. This Agreement supersedes all prior and contemporaneous agreements and understandings between the Parties hereto relating to the subject matter hereof.
