Rig Appraisals. On or prior to the Initial Borrowing Date, the Agent and Co-Agent shall have received an appraisal of the value of each rig owned by the Company and its Subsidiaries, in form and substance satisfactory to the Agent and Co-Agent, from an Approved Appraiser. A complete record of all drilling rigs, including location, owned by the Company and its Subsidiaries, is set forth in Annex IV hereto.

Rig Appraisals. (a) On or before March 31 of each year commencing March 31, 1998, the Borrower shall deliver to the Banks a written appraisal report prepared by an Approved Rigbroker setting forth the Market Value of each offshore drilling rig and other vessel owned by the Borrower and its Subsidiaries as of the date appraised (each a "Rig Appraisal Report"). The cost of each such Rig Appraisal Report shall be paid by the Borrower.
Rig Appraisals. Substantially concurrently with, or no later than, the delivery of financial statements pursuant to Section 6.6(a)(i) for the fiscal quarter ending June 30 of each fiscal year (commencing with the fiscal quarter ending June 30, 2024) and the delivery of annual financial statements pursuant to Section 6.6(a)(ii), commencing with December 31, 2023, the Borrower shall deliver to the Administrative Agent an appraisal report as of a recent date from an Approved Appraiser, stating the then-current fair market value (and each current fair market value used in such determination) of each of the Rigs of the Company and its Restricted Subsidiaries (other than Excluded Rigs) on an individual charter-free basis, provided, however, that if the fair market value of a Rig in such appraisal report is expressed as a numerical range of a high and low score, the fair market value for such Rig shall be deemed to be the mathematical average of such scores. All such appraisals shall be arranged by, and made at the expense of, the Company.
Rig Appraisals. The Agent, on behalf of the Banks, shall be entitled to request that Borrowers obtain an updated, current rig appraisal from Xxxxxx Xxxxx or another drilling rig appraiser acceptable to the Agent not more frequently than once every two (2) calendar years, commencing calendar year 2002, at Borrowers' sole cost and expense. Upon receipt of such written request from the Agent, Borrowers shall diligently engage such acceptable appraiser and deliver a full and complete copy of the drilling rig appraisal no later than ninety (90) days after receipt of the Agent's written request therefor.
Rig Appraisals. In addition to the rig appraisal of the existing Current Collateral currently being conducted and to be completed and delivered to the Agent within a reasonable time following the Closing Date, the Agent, on behalf of the Banks, shall be entitled to request that Borrowers obtain an updated, current rig appraisal from Xxxxxx Xxxxx or another drilling rig appraiser acceptable to the Agent not more frequently than once every two (2) calendar years, commencing calendar year 2000, at Borrowers' sole cost and expense. Upon receipt of such written request from the Agent, Borrowers shall diligently engage such acceptable appraiser and deliver a full and complete copy of the drilling rig appraisal no later than ninety (90) days after receipt of the Agent's written request therefor.
Rig Appraisals. The Administrative Agent, on behalf of the Required Lenders, will be entitled to request that Unit obtain an updated, current appraisal of the Rigs from Harvey Davis or another drillinx xxx xxxxxxser acceptable to the Administrative Agent and the Required Lenders not more frequently than once every two (2) calendar years, commencing calendar year 2004, at Unit's sole cost and expense. Upon receipt of such written request from the Administrative Agent, Unit will diligently engage such acceptable appraiser and deliver a full and complete copy of the appraisal of the Rigs no later than ninety (90) days after receipt of the Agent's written request.

  • Appraisals An appraisal of the related Mortgaged Property was conducted in connection with the origination of the Mortgage Loan, which appraisal is signed by an appraiser, who, to the Mortgage Loan Seller's knowledge, had no interest, direct or indirect, in the Mortgaged Property or the Borrower or in any loan made on the security thereof, and whose compensation is not affected by the approval or disapproval of the Mortgage Loan; in connection with the origination of the Mortgage Loan, each appraiser has represented in such appraisal or in a supplemental letter that the appraisal satisfies the requirements of the "Uniform Standards of Professional Appraisal Practice" as adopted by the Appraisal Standards Board of the Appraisal Foundation.

  • Inspections; Appraisals (a) Permit Agent from time to time, subject (except when a Default or Event of Default exists) to reasonable notice and normal business hours, to visit and inspect the Properties of any Borrower or Subsidiary, inspect, audit and make extracts from any Borrower’s or Subsidiary’s books and records, and discuss with its officers, employees, agents, advisors and independent accountants such Borrower’s or Subsidiary’s business, financial condition, assets, prospects and results of operations. Lenders may participate in any such visit or inspection, at their own expense. Neither Agent nor any Lender shall have any duty to any Borrower to make any inspection, nor to share any results of any inspection, appraisal or report with any Borrower. Borrowers acknowledge that all inspections, appraisals and reports are prepared by Agent and Lenders for their purposes, and Borrowers shall not be entitled to rely upon them.

  • Real Estate Appraisals Company shall, and shall cause each of its Subsidiaries to, permit an independent real estate appraiser reasonably satisfactory to Administrative Agent, upon reasonable notice, to visit and inspect any Additional Mortgaged Property for the purpose of preparing an appraisal of such Additional Mortgaged Property satisfying the requirements of any applicable laws and regulations (in each case to the extent required under such laws and regulations as determined by Administrative Agent in its discretion).

  • Inspections and Appraisals At all times during normal business hours, Laurus, and/or any agent of Laurus shall have the right to (a) have access to, visit, inspect, review, evaluate and make physical verification and appraisals of each Company’s properties and the Collateral, (b) inspect, audit and copy (or take originals if necessary) and make extracts from each Company’s Books and Records, including management letters prepared by the Accountants, and (c) discuss with each Company’s directors, principal officers, and independent accountants, each Company’s business, assets, liabilities, financial condition, results of operations and business prospects.   • Updated Appraisals For so long as the Loan remains outstanding, if any Event of Default shall occur hereunder, or if, in Lender’s judgment, a material depreciation in the value of the Land and/or the Improvements shall have occurred, then in any such event, Lender, may cause the Land and Improvements to be appraised by an appraiser selected by Lender, and in accordance with Lender’s appraisal guidelines and procedures then in effect, and Borrower agrees to cooperate in all respects with such appraisals and furnish to the appraisers all requested information regarding the Land and Improvements and the Facility. Borrower agrees to pay all reasonable costs incurred by Lender in connection with such appraisal which costs shall be secured by the Mortgage and shall accrue interest at the Default Rate until paid.

The appraisal obtained pursuant to the above provisions shall be treated as the fair market value of the Vessel for that period unless the Facility Agent (acting on the instructions of the Required Lenders) notifies the Borrower within 15 days of the receipt of this appraisal that it is not satisfied that such appraisal appropriately reflects the fair market value of the Vessel, in which case the Facility Agent shall be entitled to request that the Borrower obtains a second valuation from an Approved Appraiser, such second valuation to be obtained within 15 days of the receipt of the request for the same. Where any such second valuation is so requested, the fair market value of the Vessel shall be determined on the basis of the average of the two appraisals so obtained. All such appraisals shall be conducted by, and made at the expense of, the Borrower (it being understood that the Facility Agent may and, at the request of the Lenders, shall, upon prior written notice to the Borrower (which notice shall identify the names of the relevant appraisal firms), obtain such appraisals and that the cost of all such appraisals will be for the account of the Borrower); provided that, unless an Event of Default shall then be continuing, in no event shall the Borrower be required to pay for appraisal reports from one or, if applicable, two appraisers on more than one occasion in any fiscal year of the Borrower, with the cost of any such reports in excess thereof to be paid by the Lenders on a pro rata basis;
