Current Collateral definition

Current Collateral means for Borrowers, on a consolidated basis, all in accordance with GAAP, (i) all Current Assets, less (ii) the sum of (x) Borrower's current assets which are classified on Borrowers' consolidated balance sheet as "prepaid expenses", excluding the amount of interest prepaid on the Term Notes, and otherwise included in prepaid expenses, (y) Borrowers' current liabilities which are classified on Borrowers' consolidated balance sheet as "accounts payable", and (z) all of Borrowers' current liabilities which are classified on Borrowers' consolidated balance sheet as "timber contracts payable."
Current Collateral means the cost of the Collateral (including Soft Collateral) described in any Loan Schedule.
Current Collateral means, for any day, all cash and Acceptable Letters of Credit posted by or on behalf of the Sleeve Obligors to the Merrill Parties pursuant to clauses (a)(i)(1) or (a)(ii)(A) of Section 10 of this Agreement, which as of such day has not theretofore been applied or used by the Merrill Parties to satisfy any Credit Sleeve Obligation or otherwise returned to NRG.

Examples of Current Collateral in a sentence

  • If any cash, instrument or security, lodged in accordance with any of the following Procedures, is in any way found to be unacceptable, it will immediately be given a zero value for the purposes of calculating the value of the Clearing Member Current Collateral Balance (the "Current Collateral Value").

  • Where the Agent Member has insufficient Collateral to close a triparty transaction or to decrease the transaction amount of a triparty transaction, the Agent Buffer Current Collateral Value will be deemed to be decreased overnight and, the following morning the Clearing House will only close the triparty transaction or decrease the transaction amount of the triparty transaction after 09.00 (UK time) when any PPS cash calls have been confirmed.

  • If any cash instrument or security, lodged in accordance with any of the following SC Procedures, is in any way found to be unacceptable, it will immediately be given a zero value for the purposes of calculating the value of: (i) the SM/AM Current Collateral Balance (the "SM/AM Current Collateral Value"); (ii) the Agent Buffer Collateral Balance (the "Agent Buffer Current Collateral Value"); (iii) the ARC Account; and (iv) the SM/AM Default Fund Account.

  • Insufficient Collateral: Where the Sponsored Member has insufficient Collateral to close a triparty transaction or to decrease the transaction amount of a triparty transaction, the SM/AM Current Collateral Value will be deemed to be decreased overnight and the following morning the Clearing House will only close the triparty transaction or decrease the transaction amount of the triparty transaction after09.00 (UK time) when any PPS cash calls have been confirmed.

  • Following confirmation of the cash call, the settlement instruction will, subject to Sections 4.1.2 and 4.1.8 of these SC Procedures, be sent to the Depository by the Clearing House and the Collateral specified in those instructions will, subject to Sections 4.1.2 and 4.1.8 of these SC Procedures, no longer be included when calculating the SM/AM Current Collateral Value or Agent Buffer Current Collateral Value, as applicable.

  • Following confirmation of the transfer of such cash Collateral, the settlement instruction will, subject to Sections 1.1.2 and 1.1.8, be sent to the Depository by the Clearing House and the Collateral specified in those instructions will, subject to Sections 1.1.2 and 1.1.8, no longer be included when calculating the Clearing Member's Current Collateral Value.

  • Subject to Section 1.1.8, instructions for the transfer of securities Collateral from a Clearing Member to the Clearing House that are input via the CMS or, when directed by the Clearing House, via one of the forms available on the website prior prior to the deadlines advised by the Clearing House for same day settlement will be actioned and settled transactions will be taken into account for the purposes of calculating the Clearing Member's Current Collateral Value following settlement.

  • On settlement of the relevant transaction, the Clearing House will reflect the balance of the securities or cash on the relevant account of the Sponsored Member, or Agent Member as applicable, and take them into account for the purposes of calculating the SM/AM Current Collateral Value or Agent Buffer Current Collateral Value.

  • Insufficient Collateral: Where the Clearing Member has insufficient Collateral to close a triparty transaction or to decrease the transaction amount of a triparty transaction, the Clearing Member's Current Collateral Value will be deemed to be decreased overnight and, the following morning, the Clearing House will only close the triparty transaction or decrease the transaction amount of the triparty transaction after 09.00 (UK time) when any PPS cash calls have been confirmed.

  • Where the Agent Member has sufficient Collateral available, the release or closure of a triparty transaction or the decrease of the transaction amount of a triparty transaction will be processed on the same day and the resultingreduction of Collateral will be taken into account for the purpose of calculating the Agent Buffer Current Collateral Value.

Related to Current Collateral

  • Patent Collateral means all Patents, whether now owned or hereafter acquired by the Company that are associated with the Business.

  • Equivalent Collateral means, with respect to any security constituting Posted Collateral, a security of the same issuer and, as applicable, representing or having the same class, series, maturity, interest rate, principal amount or liquidation value and such other provisions as are necessary for that security and the security constituting Posted Collateral to be treated as equivalent in the market for such securities;

  • Current Asset Collateral means all the “ABL Priority Collateral” as defined in the ABL Intercreditor Agreement.

  • Account Collateral means, with respect to each Account, such Account, together with all cash, securities, Financial Assets and investments and other property from time to time deposited or credited to such Account and all proceeds thereof, including, with respect to the Reserve Fund, the Reserve Fund Deposit and the Reserve Fund Amount.

  • Security Agreement Collateral means all "Collateral" as defined in the Security Agreement.

  • Threshold Event Collateral shall have the meaning assigned to such term in Section 5(g).

  • Trademark Collateral means all Trademarks, whether now owned or hereafter acquired by the Company, that are associated with the Business. Notwithstanding the foregoing, the Trademark Collateral does not and shall not include any Trademark which would be rendered invalid, abandoned, void or unenforceable by reason of its being included as part of the Trademark Collateral.

  • U.S. Collateral means any and all property owned, leased or operated by a Person covered by the U.S. Collateral Documents and any and all other property of any U.S. Loan Party, now existing or hereafter acquired, that may at any time be or become subject to a security interest or Lien in favor of the Administrative Agent to secure the Secured Obligations.

  • Possessory Collateral means any Shared Collateral in the possession of a Collateral Agent (or its agents or bailees), to the extent that possession thereof perfects a Lien thereon under the Uniform Commercial Code of any jurisdiction. Possessory Collateral includes, without limitation, any Certificated Securities, Promissory Notes, Instruments, and Chattel Paper, in each case, delivered to or in the possession of the Collateral Agent under the terms of the First-Lien Security Documents.

  • UCC Collateral is defined in Section 3.03.

  • Pledge Agreement Collateral means all "Collateral" as defined in the Pledge Agreement.

  • Copyright Collateral means all Copyrights, whether now owned or hereafter acquired by the Company, that are associated with the Business.

  • Stock Collateral means, collectively, the Collateral described in clauses (a) through (c) of Section 3 hereof and the proceeds of and to any such property and, to the extent related to any such property or such proceeds, all books, correspondence, credit files, records, invoices and other papers.

  • Additional Collateral Any of the following held, in addition to the related Mortgaged Property, as security for a Mortgage Loan: (i) all money, securities, security entitlements, accounts, general intangibles, payment rights, instruments, documents, deposit accounts, certificates of deposit, commodities contracts and other investment property and other property of whatever kind or description now existing or hereafter acquired which is pledged as security for the repayment of such Mortgage Loan, (ii) third-party guarantees, and (A) all money, securities, security entitlements, accounts, general intangibles, payment rights, instruments, documents, deposit accounts, certificates of deposit, commodities contracts and other investment property and other property of whatever kind or description now existing or hereafter acquired which is pledged as collateral for such guarantee or (B) any mortgaged property securing the performance of such guarantee, or (iii) such other collateral as may be set forth in the Series Supplement.

  • Primary Collateral With respect to any Cross-Collateralized Mortgage Loan, any Mortgaged Property (or portion thereof) designated as directly securing such Cross-Collateralized Mortgage Loan and excluding any Mortgaged Property (or portion thereof) as to which the related lien may only be foreclosed upon by exercise of the cross-collateralization provisions of such Cross-Collateralized Mortgage Loan.

  • Collateral means all of the “Collateral” referred to in the Collateral Documents and all of the other property that is or is intended under the terms of the Collateral Documents to be subject to Liens in favor of the Administrative Agent for the benefit of the Secured Parties.

  • Purchase Agreement Collateral has the meaning specified in Section 6.9 of this Agreement.

  • Control Collateral means any Collateral consisting of any Certificated Security (as defined in Section 8-102 of the Uniform Commercial Code), Investment Property, Deposit Account, Instruments and any other Collateral as to which a Lien may be perfected through possession or control by the secured party, or any agent therefor.

  • Borrower Collateral means all of Borrower's now owned or hereafter acquired right, title, and interest in and to each of the following:

  • Swap Collateral means, at any time, any asset (including, without limitation, cash and/or securities) which is paid or transferred by a Swap Provider to the Guarantor (and not transferred back to the Swap Provider) as credit support to support the performance by such Swap Provider of its obligations under the relevant Swap Agreement together with any income or distributions received in respect of such asset and any equivalent of such asset into which such asset is transformed; for greater certainty, Contingent Collateral shall at all times be excluded from Swap Collateral;

  • Pledged Collateral has the meaning assigned to such term in Section 2.01.

  • First Priority Collateral means all assets, whether now owned or hereafter acquired by the Borrower or any other Loan Party, in which a Lien is granted or purported to be granted to any First Priority Secured Party as security for any First Priority Obligation.

  • As-Extracted Collateral means “as-extracted collateral” as such term is defined in the Uniform Commercial Code as in effect on the date hereof in the State of New York.

  • Excluded Collateral shall have the meaning assigned to such term in the Security Agreement.

  • ABL Collateral means all of the assets and property of any Grantor, whether real, personal or mixed, with respect to which a Lien is granted as security for any ABL Obligations.
