Right to Reject Property. If during the Due Diligence Period, the CITY identifies any concerns with the Property, the CITY will have the right to refuse to accept the Property and will provide a written notice to GRANTOR and the Escrow Holder of the CITY’s refusal to accept the Property. Upon such termination, and the partiessole obligation with respect to this Agreement is to cooperate with the Escrow Company in cancelling the transaction (and any escrow cancellation fee shall be paid by GRANTOR).
