Rights of Nonrequesting Holders. Upon receipt of any Demand Request, the Company shall promptly (but in any event within ten (10) days) give written notice of such proposed Demand Registration to all other Holders, who shall have the right, exercisable by written notice to the Company within twenty (20) days of their receipt of the Company’s notice, to elect to include in such Demand Registration such portion of their Registrable Shares as they may request. All Holders requesting to have their Registrable Shares included in a Demand Registration in accordance with the preceding sentence shall be deemed to be “Requesting Holders” for purposes of this Section 2.1.
Rights of Nonrequesting Holders. Upon receipt of any Demand Request, the Company shall promptly (but in any event within ten (10) days) give written notice of such proposed Underwritten Registration to all other Holders of Registrable Shares, who shall have the right, exercisable by written notice to the Company within fifteen (15) days of their receipt of the Company’s notice, to elect to include in such Underwritten Registration such portion of their Registrable Shares as they may request, so long as such Registrable Shares are proposed to be disposed of in accordance with the method or methods of disposition requested pursuant to this Section 2.2. All Holders requesting to have their Registrable Shares included in an Underwritten Registration in accordance with the preceding sentence together with all Demanding Stockholders shall be deemed to be “Requesting Holders” for purposes herein.

All Holders requesting to have their Registrable Shares included in a Demand Registration in accordance with the preceding sentence shall be deemed to be "Requesting Holders" for purposes of this Section 3.1; provided, if any member of the HMC Group or any of the Existing Stockholders participates as a Requesting Holder in a Demand Registration such Holder's participation shall be counted as a Demand Request of the HMC Group or the Existing Stockholders, respectively.

Upon receipt of any Demand Request, the Company shall no later than ten (10) days after filing of the relevant registration statement give written notice delivered by hand, facsimile transmission, electronic mail or nationally recognized overnight delivery service (with postage prepaid) of such proposed Demand Registration to all other Holders, who shall have the right, exercisable by written notice to the Company within fifteen (15) days of the delivery of the Company’s notice, to elect to include in such Demand Registration such portion of their Registrable Securities as they may request. All Holders requesting to have their Registrable Securities included in a Demand Registration in accordance with the preceding sentence shall be deemed to be “Requesting Holders” for purposes of this Section 2.1.

Upon receipt of any Demand Request, TERP shall promptly (but in any event within ten (10) days) give written notice of such proposed Demand Registration to all other Holders, who shall have the right, exercisable by written notice to TERP within twenty (20) days of their receipt of TERP’s notice, to elect to include in such Demand Registration such portion of their Registrable Shares as they may request. All Holders requesting to have their Registrable Shares included in a Demand Registration in accordance with the preceding sentence shall be deemed to be “Requesting Holders” for purposes of this Section 2.1. TERP shall also have the right to issue and sell Shares in such Demand Registration.

Upon receipt of any Demand Request, Parent shall promptly (but in any event within ten (10) days) give written notice of such proposed Demand Registration to all other Holders, who shall have the right, exercisable by written notice to Parent within ten (10) days) of their receipt of Parent’s notice, to elect to include in such Demand Registration such portion of their Registrable Securities as they may request; provided, however, that in connection with any Demand Request in connection with a Shelf Registration, Parent shall give written notice of such proposed Demand Registration to all other Holders within two (2) days of such Demand Request and all other Holders shall have the right, exercisable by written notice to Parent within two (2) days of their receipt of Parent’s notice, to elect to include in such Demand Registration such portion of their Registrable Securities as they may request. All Holders requesting to have their Registrable Securities included in a Demand Registration in accordance with the preceding sentence shall be deemed to be “Requesting Holders” for purposes of this

If the Company shall receive, within a period of 30 days, a Demand Request from more than one person who has the right to require the Company to effect a Demand Registration (each, a "Demand Holder"), all such requesting Persons shall be considered "Requesting Holders" for purposes of this Section 3.1; provided, that if the first request received by the Company is from Fojtxxxx xxx/or Heritage pursuant to Section 3.1.1(b), then only the members of the Fojtxxxx Xxxup and the Heritage Group requesting registration shall be considered "Requesting Holders" and that no other Person who has tendered a request shall be deemed to have requested a Demand Registration with respect to such Person's Registrable Securities for purposes of this Agreement. Upon receipt of any Demand Request from any Demand Holder, the Company shall promptly (but in any event within 10 days) give written notice of such proposed Demand Registration to all other Demand Holders.

Upon receipt of any Demand Request or Shelf Takedown Request, the Company shall promptly (but in any event within five (5) days, or two (2) days in the case of a Shelf Registration or Shelf Takedown that is a bought or overnight offering) give written notice of such proposed Underwritten Registration or Shelf Takedown to all other Holders of Registrable Shares, if any, who shall have the right, exercisable by written notice to the Company within five (5) days (or two (2) days in the case of a Shelf Registration or Shelf Takedown that is a bought or overnight offering) of their receipt of the Company’s notice, to elect to include in such Underwritten Registration or Shelf Takedown such portion of their Registrable Shares as they may request, so long as such Registrable Shares are proposed to be disposed of in accordance with the method or methods of disposition requested pursuant to this Section 2.2. All Holders requesting to have their Registrable Shares included in an Underwritten Registration or Shelf Takedown in accordance with the preceding sentence together with all Demanding Stockholders shall be deemed to be “Requesting Holders” for purposes herein.
