RIGHTS OVER ASSETS. The "DEVELOPER" shall not in any way transfer, sell, alienate, encumber, mortgage or create any charge on the Land, Premises, Assets, the Project and Project Facilities during the Term of this Agreement to any other third party without approval of RHB.
RIGHTS OVER ASSETS. (a) The Parties agree that the Lessee shall be exclusively entitled to any and all rights over any construction, structures, additions, and/or improvements made by or on behalf of the Lessee in respect of the Project (“Assets”) who shall have the right to sub lease, mortgage, or otherwise monetise such Assets pursuant to any contract / arrangement (“Third Party Agreement”) entered into by such other person (“Third Party”) with the Lessee pursuant to the rights vesting in the Lessee under this Deed and in particular, Clause 3.2 (Right to sub-let etc.). (b) In case of earlier termination of this Deed, the Lessor shall, if required by the relevant Third Party, enter into an agreement with the relevant Third Party for the unexpired term of any Third Party Agreement on the same terms and conditions as the Third Party Agreement and the Third Party shall continue to use and occupy the Land and the Building, or other Assets thereon as the case may be, or part thereof without any further lease premium or any amount payable by the Third Party to the Lessor and subject to the Third Party having valid approval and licences from the appropriate authorities.

  • Rights to Intellectual Property This Data Agreement does not give Service Provider any rights, implied or otherwise, to CDI, data, content or intellectual property except as expressly stated in any underlying agreement between the parties. This includes but is not limited to the right to share, sell or trade CDI. The District acknowledges that this agreement does not convey any intellectual property right in any of Service Provider’s materials or content, including any revisions of derivative work or material. Service Provider-owned materials shall remain the property of the Service Provider. All rights, including copyright, trade secrets, patent and intellectual property rights shall remain the sole property of the Service Provider.

  • Rights in Properties; Liens The Borrower and each of its Subsidiaries has good title to or valid leasehold interests in its respective Properties, real and personal, and none of such Properties or leasehold interests of the Borrower or any of its Subsidiaries is subject to any Lien, except as permitted by Section 11.2.

  • Access Rights Upon reasonable notice and supervision by the Granting Party, and subject to any required or necessary regulatory approvals, either the Connecting Transmission Owner or Developer (“Granting Party”) shall furnish to the other of those two Parties (“Access Party”) at no cost any rights of use, licenses, rights of way and easements with respect to lands owned or controlled by the Granting Party, its agents (if allowed under the applicable agency agreement), or any Affiliate, that are necessary to enable the Access Party to obtain ingress and egress at the Point of Interconnection to construct, operate, maintain, repair, test (or witness testing), inspect, replace or remove facilities and equipment to: (i) interconnect the Large Generating Facility with the New York State Transmission System; (ii) operate and maintain the Large Generating Facility, the Attachment Facilities and the New York State Transmission System; and (iii) disconnect or remove the Access Party’s facilities and equipment upon termination of this Agreement. In exercising such licenses, rights of way and easements, the Access Party shall not unreasonably disrupt or interfere with normal operation of the Granting Party’s business and shall adhere to the safety rules and procedures established in advance, as may be changed from time to time, by the Granting Party and provided to the Access Party. The Access Party shall indemnify the Granting Party against all claims of injury or damage from third parties resulting from the exercise of the access rights provided for herein.
