RMB Currency Risk. RMB may not be freely convertible and conversion may be subject to such exchange controls and restrictions that may be imposed from time to time. The Customer's ability to remit or repatriate funds into the PRC or out of the PRC will be restricted by applicable laws, by- laws, rules and/or regulations. Should the conversion of RMB be subject to a daily limit, the Customer may have to allow time for conversion of RMB from/to another currency of an amount exceeding the daily limit. There is no guarantee that the exchange rate of RMB will not depreciate. Hong Kong and overseas Customers who hold a local currency other than RMB will be exposed to currency risk if they invest in a RMB product. This is because such RMB product(s) may give rise to the need for the conversion of the local currency into RMB. During the conversion, the Customer may also incur currency conversion costs. Even if the price of the RMB asset remains the same when the Customer purchased it and when the Customer redeems / sells it, the Customer may still incur a loss when converting the redemption / sale proceeds into local currency if RMB has depreciated.

If for any reason the amount in the Contractual Currency so received falls short of the amount in the Contractual Currency payable in respect of this Agreement, the party required to make the payment will, to the extent permitted by applicable law, immediately pay such additional amount in the Contractual Currency as may be necessary to compensate for the shortfall. If for any reason the amount in the Contractual Currency so received exceeds the amount in the Contractual Currency payable in respect of this Agreement, the party receiving the payment will refund promptly the amount of such excess.
