ROLES & RESPONSIBILITIES OF MAHA METRO. ▪ Maha Metro to assist to identify, publicly accessible spaces designated for vehicle parking, pick-up and drop of commuters for Feeder Bus Services at the locations within the area of operations for use of Buses at and around the Metro Stations and Destinations. ▪ Maha Metro to provide schedule of metro operation for better service. ▪ Maha Metro to provide entry and exit data and ridership data for each station on a daily basis. ▪ Maha Metro to assist <Company Name> in dealing with incidences of theft and vandalism, including coordination with the Police and other relevant authorities but Maha Metro shall not be liable for any theft or vandalism of Company Name assets. ▪ Maha Metro may give support <Company Name> to get all the required permissions from the Government Departments / Authorities for Operating the Metro Feeder Services. ▪ Maha Metro may take the necessary permissions and erect signage poles / make bus bays for the Feeder Bus Services. This will help identify the places from where the commuters can get picked up and dropped by the Feeder Bus Services. ▪ Maha Metro to assist <Company Name> provide information to residents of the city about the services offered by the <Company Name>. ▪ Maha Metro shall not be liable for any direct/ indirect consequential damages or loss in respect of the Metro Feeder project & shall not be liable to third party relating to said project. ▪ Number of parking slots at the Metro Stations for the buses shall be decided by Maha Metro as per availability of the Spaces. ▪ Increase/decrease of parking spaces in each Xxxxx Xxxxxxx and increase/decrease in number of Metro Stations for Feeder services shall be mutually discussed and decided by Maha Metro and <Company Name>. ▪ Maha Metro may provide parking facilities to <Company Name>. at their sites and properties wherever available at the cost of <Company Name>. ▪ Maha Metro shall have right to review and inspect all the software and hardware provided by <Company Name>. ▪ Maha Metro shall decide the fare based on mutual discussion with <Company Name>, as viable to run and sustain the Feeder Bus Services. ▪ Maha Metro may provide space for awareness on all levels of the metro stations to promote the Feeder Bus Services. ▪ Maha Metro may promote the Feeder Bus Services extensively in all their marketing and promotion mediums. ▪ Maha Metro may integrate their official App with the Feeder App to promote <Company Name> Feeder Services and other related promotions. ▪ Maha Metr...

ROLES & RESPONSIBILITIES OF MAHA METRO. ▪ Maha-Metro may provide assistance to identify publicly accessible spaces designated for Pickup and Drop off bays at locations specified at every Metro Stations so as to use the Metro, NMC City Bus, E-Rickshaw, E- Auto, LPG Rickshaw/Auto, CNG Rickshaw/Auto, regular Autorickshaws, E-Scooter, E-Bicycle, Bicycle etc for Last Mile Connectivity. ▪ Maha-Metro may provide schedule of Metro operation for better service. ▪ Maha- Metro may provide information to residents about the services offered by the Operator at its various offices.

  • Definitions For purposes of this Agreement:

  • Notices Any notice, request or other document required or permitted to be given or delivered to the Holder by the Company shall be delivered in accordance with the notice provisions of the Purchase Agreement.

  • Miscellaneous The Vendor acknowledges and agrees that continued participation in TIPS is subject to TIPS sole discretion and that any Vendor may be removed from the participation in the Program at any time with or without cause. Nothing in the Agreement or in any other communication between TIPS and the Vendor may be construed as a guarantee that TIPS or TIPS Members will submit any orders at any time. TIPS reserves the right to request additional proposals for items or services already on Agreement at any time.

  • Termination This Agreement may be terminated at any time prior to the Closing:

  • Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of New York.

  • WHEREAS the Company desires the Warrant Agent to act on behalf of the Company, and the Warrant Agent is willing to so act, in connection with the issuance, registration, transfer, exchange, redemption and exercise of the Warrants; and

  • Entire Agreement This DPA and the Service Agreement constitute the entire agreement of the Parties relating to the subject matter hereof and supersedes all prior communications, representations, or agreements, oral or written, by the Parties relating thereto. This DPA may be amended and the observance of any provision of this DPA may be waived (either generally or in any particular instance and either retroactively or prospectively) only with the signed written consent of both Parties. Neither failure nor delay on the part of any Party in exercising any right, power, or privilege hereunder shall operate as a waiver of such right, nor shall any single or partial exercise of any such right, power, or privilege preclude any further exercise thereof or the exercise of any other right, power, or privilege.

  • Insurance The Company and the Subsidiaries are insured by insurers of recognized financial responsibility against such losses and risks and in such amounts as are prudent and customary in the businesses in which the Company and the Subsidiaries are engaged, including, but not limited to, directors and officers insurance coverage. Neither the Company nor any Subsidiary has any reason to believe that it will not be able to renew its existing insurance coverage as and when such coverage expires or to obtain similar coverage from similar insurers as may be necessary to continue its business without a significant increase in cost.

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
