Safety and Quality Management. (a) Contractor warrants that the Manager shall implement and maintain throughout the Term a quality assurance and quality management system (the “QA/QM System”) which shall be completed, implemented and submitted to Customer by the Delivery Date. The QA/QM System shall cover all management activities in relation to the Vessel and its operation, and include an HSSE programme which is satisfactory to Customer in accordance with Schedule II. Notwithstanding the requirements of Schedule II, Contractor shall supply documentation on each anniversary date of the Delivery Date confirming such continued maintenance. Customer reserves the right to verify compliance with the QA/QM System by an independent audit with a view to monitor key operational activities to ensure conformance with the highest International Standards, established safety, quality, security and environmental objectives and continuous improvement of the HSSE programme.

Safety and Quality Management. (a) Contractor shall procure that its Affiliate implements and maintains a quality assurance and quality management system (the "HSSE System") which shall be completed and implemented by the Service Commencement Date, in accordance with Schedule IX – HSSE Requirements and Contractor shall provide Customer with its certification that such HSSE System is in place. The HSSE System shall cover all management activities in relation to the Vessel and its operation, and Contractor shall supply documentation on each anniversary date of the Service Commencement Date confirming such continued maintenance.

The QA/QM System shall comply with ISO9001, latest edition and shall cover all management activities in relation to the Vessel and its operation and maintenance, and include an HSSE Management Program which shall comply with ISO14001 and OXXXX XXX00000, latest edition and which is satisfactory to Customer acting reasonably in accordance with Schedule II. Notwithstanding the requirements of Schedule II, Contractor shall supply documentation on each anniversary date of the Delivery Date confirming such continued maintenance. Customer may undertake an independent audit and provide comments in such QA/QM System to ensure conformance with the highest International Standards, established safety, quality, security and environmental objectives and continuous improvement of the HSSE Management Program.

  • MARKETING AND REPRESENTATIONS 8.1 The Fund or its underwriter shall periodically furnish Insurance Company with the following documents, in quantities as Insurance Company may reasonably request:

  • Labor Relations; Compliance No Acquired Company has been or is a party to any collective bargaining or other labor contract or agreement, and there has not been, there is not presently pending or existing, and there is not Threatened, (a) any strike, slowdown, picketing, work stoppage, or employee grievance process, (b) any Proceeding against or affecting any Acquired Company relating to the alleged violation of any Legal Requirement pertaining to labor relations or employment matters, including any charge or complaint filed by an employee or union with the National Labor Relations Board, the Equal Employment Opportunity Commission, or any comparable Governmental Body, organizational activity, or other labor or employment dispute against or affecting any of the Acquired Companies or their premises, except as described in Part 3.21 of the Disclosure Letter, or (c) any application for certification of a collective bargaining agent. No event has occurred or circumstance exists that could provide the basis for any work stoppage or other labor dispute. There is no lockout of any employees by any Acquired Company, and no such action is contemplated by any Acquired Company. Each Acquired Company has complied in all respects with all Legal Requirements relating to employment, equal employment opportunity, nondiscrimination, immigration, wages, hours, benefits, collective bargaining, the payment of social security and similar taxes, occupational safety and health, and plant closing. No Acquired Company is liable for the payment of any compensation, damages, Taxes, fines, penalties, or other amounts, however designated, for failure to comply with any of the foregoing Legal Requirements.

  • Environmental, Health and Safety Matters (a) The Company has complied and is in compliance with all Environmental, Health, and Safety Requirements.

  • Record Keeping and Reporting 2.8. The Buyer agrees that during the period whilst further Contingent Consideration is payable in accordance with this Schedule 5 it shall, and shall procure that each other Buyer’s Group Undertaking shall:

  • Transportation Management Tenant shall fully comply with all present or future programs intended to manage parking, transportation or traffic in and around the Building, and in connection therewith, Tenant shall take responsible action for the transportation planning and management of all employees located at the Premises by working directly with Landlord, any governmental transportation management organization or any other transportation-related committees or entities.

  • SAFETY AND HEALTH All sources supplying coal purchased under this contract shall be in full compliance with the Federal Mine Safety and Health Act of 1977 and regulations issued thereunder. Failure to comply shall constitute a breach of contract, permitting TVA to exercise its remedies under this contract or as provided by law.

  • Compliance with PRC Overseas Investment and Listing Regulations Each of the Company and its Subsidiaries and Affiliated Entities has complied, and has taken all reasonable steps to ensure compliance by each of its shareholders, directors and officers that is, or is directly or indirectly owned or controlled by, a PRC resident or citizen with any applicable rules and regulations of the relevant PRC government agencies (including but not limited to the Ministry of Commerce, the National Development and Reform Commission, the China Securities Regulatory Commission (“CSRC”) and the State Administration of Foreign Exchange (the “SAFE”)) relating to overseas investment by PRC residents and citizens (the “PRC Overseas Investment and Listing Regulations”), including, without limitation, requesting each such Person that is, or is directly or indirectly owned or controlled by, a PRC resident or citizen, to complete any registration and other procedures required under applicable PRC Overseas Investment and Listing Regulations (including any applicable rules and regulations of the SAFE).
