Satisfaction with Due Diligence. Buyer’s due diligence investigation shall not have indicated that any of the information provided for in the Agreement or provided by any Seller or Company is inaccurate, incomplete or untrue in any way, and Buyer’s due diligence investigation shall not have revealed any facts, circumstances, liabilities or conditions that Buyer considers, may adversely affect the value or prospects of the Seller Shares or the Company or that may expose the Company to any liability not heretofore fully disclosed to Buyer.
Satisfaction with Due Diligence. The Buyer and Designated Subsidiary shall have completed and be satisfied with, in Buyer’s sole discretion, its due diligence examination of all aspects of the Assigned Assets.
Satisfaction with Due Diligence. Buyer shall be satisfied in its sole discretion with the results of its due diligence investigation of the Assets, including, but not limited to: (a) the operational and environmental condition of the Assets; and (b) title to the Assets.
Satisfaction with Due Diligence. DUMA shall have been satisfied with its due diligence review of HCN, its subsidiaries and their operations.
Satisfaction with Due Diligence. The Company shall have been satisfied, in its sole discretion, with the results of its legal, financial, accounting and business due diligence.
Satisfaction with Due Diligence. Procera shall have been satisfied with its due diligence review of Netintact and its operations.
Satisfaction with Due Diligence. No later than 55 days after the Effective Date, the Purchaser shall deliver to the Vendors' Counsel a certificate evidencing the Purchaser's completion of their due diligence review and the Purchaser's satisfaction with the same.
Satisfaction with Due Diligence. Buyer’s inspection and approval during the Due Diligence Period of the Due Diligence Materials, the Lease, the Service Contracts, the Survey and all other physical, environmental, legal and any other matters relating to the Property that Buyer may elect to investigate;
