Scope of Authority and Duties of Construction Agent. (a) The Construction Agent shall perform its duties in coordination and cooperation with the Owner’s Representative. Subject to the terms of this Agreement, the City hereby expressly authorizes the Construction Agent, or any agent or representative of the Construction Agent, and the Construction Agent unconditionally agrees, for the benefit of and as the agent of the City, to take all action necessary or desirable for the construction, renovation, installation, equipping, and improvement, in a good and workmanlike manner, of the Project on behalf of the City and on its behalf and as its agent pursuant to and in accordance with the Approved Construction Documents and the other Operative Documents, and for the performance and satisfaction of any and all of the Construction Agent’s or of the City’s obligations under any contract for the construction, renovation, installation, equipping and improvement of the Project and to fulfill all of the obligations of the Construction Agent hereunder and under the other Operative Documents, including:

Scope of Authority and Duties of Construction Agent. The Issuer hereby expressly authorizes the Construction Agent, or any agent or contractor of the Construction Agent, and the Construction Agent unconditionally agrees, for the benefit of and as the agent of the Issuer and the Trustee, to take all action necessary or desirable for the acquisition, construction, installation, improvement, furnishing, and equipping, in a good and workmanlike manner, of the Issuer Improvements on behalf of the Issuer and of the City Improvements on behalf of the Issuer and the City, pursuant to and in accordance with the Public Improvement Construction Documents and the Transaction Documents, and for the performance and satisfaction of any and all of the obligations of the Issuer under any contract for the construction of any of the Public Improvements, and to fulfill all of the obligations of the Construction Agent under the Public Improvement Construction Documents and the Transaction Documents, including, without limitation:

  • LIMITATION OF AUTHORITY No person is authorized to make any representations concerning the Funds or the Shares except those contained in the Prospectus of each Fund and in such printed information as the Distributor may subsequently prepare. No person is authorized to distribute any sales material relating to any Fund without the prior written approval of the Distributor.

  • AGREEMENT OFFICIALS AND DELEGATIONS OF AUTHORITY ‌ The following are authorized to subscribe to and file this Agreement and any accompanying materials and any subsequent modifications to this Agreement with the Federal Maritime Commission:

  • Representation of Authority Each individual executing this Agreement on behalf of a party hereto hereby represents and warrants that he or she is, on the date he or she signs this Agreement, duly authorized by all necessary and appropriate action to execute this Agreement on behalf of such party and does so with full legal authority.

  • Certification of Authority The undersigned certify that the persons executing this agreement on behalf of City and SDA have legal authority to enter into this agreement on behalf of City and SDA respectively and have full authority to bind City and SDA in a valid Agreement on the terms herein.

  • EXTENT OF AUTHORITY may manage a work area; • exercise a degree of autonomy (advice available on complex or unusual matters); • manage significant projects and/or functions and/or works programmes.
