Search Fees. Should CMAG introduce any individual to ABI, and ABI subsequently hires that individual, ABI shall pay CMAG an additional fee equal to 25% of the total first year’s compensation package of that individual. If ABI subsequently hires any CMAG personnel, members, officers, directors, employees and/or agents, ABI shall pay CMAG an additional fee equal to 100% of that individual’s total prior year’s compensation package.

Search Fees. Should CMCG introduce any individual to, and subsequently hire that individual, AGY will pay CMCG a search fee equal to 25% of the total first year's compensation package. This applies to any CMCG personnel which the Company may subsequently hire.

A “Unique Successful Query” occurs when LMI successfully provides YPC Search Results on a Results Page within the Area Guides Network to an end user that originated from the Search Links, a Search Box, internet search engines, banner advertisements, e-mail marketing links, or with YPC’s prior written consent other internet marketing techniques, in each of the foregoing cases as long as the end user does not originate from a Prohibited Site. Unique Successful Queries include subsequent new searches by an end user referred to YPC’s website from a link contained within a Results Page so long as the end user performs additional searches on YPC’s website during the same browser session (“Subsequent New Searches”). [***] (c) searches generated by “robots,” “spiders,” “web crawlers,” or other automated processes, devices, algorithms, or methodology, nor (d) searches that return no business listing.

  • License Maintenance Fees Licensee will pay license fees in the amounts set forth in Sections 3.1(d) of the Patent & Technology License Agreement in accordance with the stated schedule.

  • License Fees If so provided in the Prospectus, the Depositor may enter into a Licensing Agreement (the "Agreement") with a licensor (the "Licensor") described in the Prospectus in which the Trust(s), as consideration for the licenses granted by the Licensor for the right to use its trademarks and trade names, intellectual property rights or for the use of databases and research owned by the Licensor, will pay a fee set forth in the Agreement to the applicable Licensor or the Depositor to reimburse the Depositor for payment of the expenses. If the Agreement provides for an annual license fee computed in whole or part by reference to the average daily net asset value of the Trust assets, for purpose of calculating the accrual of estimated expenses such annual fee shall accrue at a daily rate and the Trustee is authorized to compute an estimated license fee payment (i) until the Depositor has informed the Trustee that there will be no further deposits of additional Securities, by reference to an estimate of the average daily net asset value of the Trust assets which the Depositor shall provide the Trustee, (ii) thereafter and during the calendar quarter in which the last business day of the period described in clause (i) occurs, by reference to the net asset value of the Trust assets as of such last business day, and (iii) during each subsequent calendar quarter, by reference to the net asset value of the Trust assets as of the last business day of the preceding calendar quarter. The Trustee shall adjust the net asset value (Trust Fund Evaluation) as of the dates specified in the preceding sentence to account for any variation between accrual of estimated license fee and the license fee payable pursuant to the Agreement, but such adjustment shall not affect calculations made prior thereto and no adjustment shall be made in respect thereof. (17) Sections 2.05(a) and 2.05(b) are hereby amended and replaced in their entirety with the following:

  • Wire Fees The Transfer Agent may receive any fees then in effect as disclosed in the Fund’s Prospectus or which may be approved by the Trustees of the Trusts for executing a wire transfer of the proceeds of any wire redemption order placed by a shareholder.

  • Licensing Fees An employee whose job specification requires a professional license or certification as a condition of employment and who uses such license for State business shall be reimbursed for the cost of such license or certification.

  • Maintenance Fees In case the Current account balance is less than a specific amount determined by the Bank management (subject to amendment from time to time), then the Bank may impose charges against the account’s maintenance which will be advertised at the Bank’s website and branches.

  • License Maintenance Fee LICENSEE will pay to REGENTS an annual license maintenance fee of [Written amount] U.S. Dollars ($Number) on the one (1) year anniversary date of the Effective Date and on each anniversary of the Effective Date thereafter.   • License Fees and Royalties Consistent with the applicable U.S. DOT Common Rules, the Recipient agrees that license fees and royalties for patents, patent applications, and inventions produced with federal assistance provided through the Underlying Agreement are program income, and must be used in compliance with federal applicable requirements.

  • Referral Fees If the CLIENT was introduced to the ADVISER through a Solicitor, the ADVISER may pay that Solicitor a referral fee in accordance with Rule 206(4)-3 of the Investment Advisers Act of 1940. The referral fee shall be paid solely from Adviser Compensation as defined in this Agreement, and shall not result in any additional charge to the CLIENT. The CLIENT acknowledges receipt of the written disclosure statement disclosing the terms of the solicitation arrangement between the ADVISER and the Solicitor, including the compensation to be received by the Solicitor from the ADVISER.

  • Support Fees Medical Practice shall be eligible to receive either Basic Support or Premium Support (the “Support Options”) based on the Support Option listed on Schedule “A” to the License Agreement. Medical Practice shall pay Modernizing Medicine the monthly fee specified on Schedule “A” of the License Agreement for either Basic Support (the “Basic Support Fee”) or Premium Support (the “Premium Support Fee” and together with the Basic Support Fee, the “Support Fees”) based on the Support Option that Medical Practice has selected. Medical Practice may elect to change the Support Option it has selected by providing at least ten (10) days prior written notice to Modernizing Medicine of such change, which change shall become effective at the commencement of the next applicable Renewal Term, unless otherwise agreed to in writing by Modernizing Medicine.
