SEC Registration and Shareholder Approval. Notwithstanding anything to the contrary contained in this Agreement, the ISO Option and/or the NSO Option (as applicable) granted hereby shall not be exercisable unless and until: (A) a registration statement under the Securities and Exchange Act of 1934 as amended has been filed and has become effective with respect to the shares of Common Stock covered by such option; (B) any required approval of the Company's shareholders has been obtained in accordance with the terms of the Plan; and (C) any other applicable laws, rules and regulations, and such approvals by any governmental agencies as may be required, shall have been complied with or obtained.
