Securitv Deposit. Upon the execution of this Lease, Lessee shall deposit with Lessor the 1st months rent and a security deposit of Fifteen Thousand and No/100 dollars ($15,000) (the" Security Deposit"), as security for the full performance by Lessee of its obligations hereunder. Ix Xxxxee defaults under any provision hereof, Lessor shall be entitled, at its option, to apply or retain all or any part of the Security Deposit for the payment of any rent or other sum in default, any other amount which Lessor may spend or become obligated to spend because of Lessee's default, or to compensate Lessor for any other loss or damage which Lessor may suffer because of Lessee's default. If any portion of the Security Deposit is so used or applied, Lessee shall, within five (5) days after written demand therefor, deposit cash with Lessor in an amount sufficient to restore the Security Deposit to its original amount. In no event shall the Security Deposit be deemed or treated as a prepayment of any rental or other amounts payable by Lessee hereunder, including without limitation, the last monthly installment of rent. Lessor shall not be required to keep the Security Deposit separate from its general funds, and Lessee shall not be entitled to interest on the Security Deposit. If Lessee shall fully and faithfully perfxxx xxery provision of this Lease to be performed by it, upon Lessee's vacation of the Premises and xxxxxx thirty (30) days after the expiration of the Lease, the Lessor shall return the Security Deposit, or any remaining balance thereof, together with its written explanation of the application of the funds, to the Lessee (or, at Lessor's option, to the last Assignee of the Lessee's interest hereunder). In the event of termination of the Lessor's interest in this Lease, the Lessor shall transfer the deposit to Lessor's successor in interest, giving xxxxxe to the Lessee, and the Lessee waives any claim to approve the transfer. The Lessee agrees that, upon a transfer of the Security Deposit, the Lessor shall have no further liability to return or account for it; provided, however, that Lessor may retain the Security Deposit until such time as any amount due from Lessee in accordance with this Lease has been determined and paid in full. Lessor's rights with respect to the Security Deposit shall be in addition to and shall not preclude concurrent, alternative or successive exercise of any other rights or remedies available to Lessor.

Securitv Deposit. Owners shall be required to remit to the Association a security deposit in the amount of $200.00 for a Function at least fourteen (14) days prior to the Function. Such security deposit must be remitted to the Associations Property Management Company. The security deposit must be paid with a money order or cashier's check made payable to Xxxxx Xxxxxxx Homeowners Association, Inc. Such deposit may be used by the Association to pay any expenses of cleaning and/or repairs or replacements required in connection with the use of the Clubhouse for the Function. If the Clubhouse, including any of its contents or any portion of the common areas, shall be damaged by the act, default or negligence of Owner or any of Owner's agents, employees, guests or any person admitted to the Function by the Owner, the Owner shall pay to the Association upon demand such sum as may be necessary to repair any such damages exceeding the amount of the Owner's security deposit.
Securitv Deposit. Contemporaneously with the execution hereof, and as a condition to the effectiveness of this Fifth Amendment, Subtenant shall deliver to Sublandlord an additional $7,331.33 to be held as part of the Security Deposit under the Sublease. Securitv Deposit. Contemporaneously with the execution of this Lease, Tenant shall pay to Landlord the Security Deposit, which shall be held by Landlord to secure Tenant’s performance of its obligations under this Lease. The Security Deposit is not an advance payment of Rent or a measure or limit of Landlord’s damages upon an Event of Default (as defined herein). Landlord may, from time to time following an Event of Default and without prejudice to any other remedy, use all or a part of the Security Deposit to perform any obligation Tenant fails to perform hereunder. Following any such application of the Security Deposit, Tenant shall pay to Landlord on demand the amount so applied in order to restore the Security Deposit to its original amount. Subject to the requirements of, and conditions imposed by, Laws applicable to security deposits under commercial leases, Landlord shall, within the time required by applicable Law, return to Tenant the portion of the Security Deposit remaining after deducting all damages, charges and other amounts permitted by Law. Landlord and Tenant agree that such deductions shall include, without limitation, all damages and losses that Landlord has suffered or that Landlord reasonably estimates that it will suffer as a result of any breach of this Lease by Xxxxxx. The Security Deposit may be commingled with other funds, and no interest shall be paid thereon. If Landlord transfers its interest in the Premises, Landlord may assign the Security Deposit to the transferee and, upon such transfer and the delivery to Tenant of an acknowledgement of the transferee’s responsibility for the Security Deposit as provided by Law, Landlord thereafter shall have no further liability for the return of the Security Deposit.
Securitv Deposit. No additional Security Deposit shall be required in connection with this Amendment. Tenant hereby waives any and all rights under and benefits of 1950.7 of the California Civil Code, or any similar or successor law now or hereinafter in effect

Lessee will not assign or encumber Lessee's interest in the Lease Deposit, and neither Lessor nor Lessor's successors or assigns will be bound by any such attempted assignment or encumbrance of the Lease Deposit. Any interest earned on the Lease Deposit will be for the sole benefit of the Lessor and shall not in any way reduce any amounts owed by Lessee under the terms hereof.

  • Deposits into the Escrow Account All Subscribers will be directed by the Issuer and its agents to transmit their data and subscription amounts via Escrow Agent’s technology systems (“Issuer Dashboard”), directly to the Escrow Account to be held for the benefit of Subscribers in accordance with the terms of this Agreement and applicable regulations. All Subscribers will transfer funds directly to the Escrow Agent for deposit into the Escrow Account. Escrow Agent shall process all subscription amounts for collection through the banking system, shall hold Escrow Amounts, and shall maintain an accounting of each such subscription amount posted to its ledger, which also sets forth, among other things, each Subscriber’s name and address, the quantity of Securities purchased, and the amount paid. All subscription amounts which have cleared the banking system, are hereinafter referred to as the “Escrow Amount”. No interest shall be paid to Issuer or Subscribers on balances in the Escrow Account. Issuer shall promptly, concurrent with any new or modified subscription agreement (each a “Subscription Agreement”) and/or Offering materials, provide Escrow Agent with a copy of such revised documents and other information as may be reasonably requested by Escrow Agent which is necessary for the performance of its duties under this Agreement. Escrow Agent is under no duty or responsibility to enforce collection of any subscription amounts whether delivered to it or not hereunder. Issuer shall cooperate with Escrow Agent with clearing any and all AML and funds processing exceptions. Funds Hold; Clearing, Settlement and Risk Management Policy: All parties agree that Subscriber funds are considered “cleared” as follows: * Wires — 24 hours (one business day) following receipt of funds; *ACH — 10 days following receipt of funds; *Credit and Debit Cards – 24 hours (one business day) following receipt of funds. For subscription amounts received through ACH transfers, Federal regulations provide Subscribers with the right to recall, cancel or otherwise dispute the transaction for a period of up to 60 days following the transactions. Similarly, subscription amounts processed by credit or debit card transactions are subject to recall, chargeback, cancellation or other dispute for a period of up to 180 days following the transaction. As an accommodation to the Issuer and Broker, subject to the terms of this Agreement, Escrow Agent shall make subscription amounts received through ACH fund transfers available starting 10 calendar days following receipt by Escrow Agent of the subscription amounts and 24 hours following receipt of funds for credit and debit card transactions. Notwithstanding the foregoing, all cleared subscription amounts remain subject to internal compliance review in accordance with internal procedures and applicable rules and regulations. Escrow Agent reserves the right to deny, suspend or terminate participation in the Escrow Account any Subscriber to the extent Escrow Agent, in its sole and absolute discretion, deems it advisable or necessary to comply with applicable laws or to eliminate practices that are not consistent with laws, rules, regulations or best practices. Prime Trust reserves the right to limit, suspend, restrict (including increasing clearing periods) or terminate the use of ACH, credit card and/or debit card transactions at its sole discretion. Without limiting the indemnification obligations under Section 11 of this Agreement, Issuer agrees that it will immediately indemnify, hold harmless and reimburse the Escrow Agent for any fees, costs or liability whatsoever resulting or arising from funds processing failures, including without limitation chargebacks, recalls or other disputes. Issuer acknowledges and agrees that the Escrow Agent shall not be responsible for or obligated to pursue collection of any funds from Subscribers.
