Senior Management Agreement. The Company and the Purchaser shall have entered into a senior management agreement, in form and substance substantially similar to Exhibit C attached hereto (the "Senior Management Agreement") with each of the Executives set forth on Exhibit D attached hereto (the "Executives"), the Senior Management Agreements shall not have been amended or modified and shall be in full force and effect as of the Closing, and each of the Executives shall have concurrently purchased the Units of the Purchaser proposed to be purchased by him thereunder.
