Common use of Service Compatibility Clause in Contracts

Service Compatibility. ACS shall ensure that all services, equipment, networks, software, enhancements, upgrades, modifications and other resources, including those provided by Symetra (collectively, the “Resources”), that are: (a) used by ACS to deliver the Services; or (b) approved by ACS for utilization by Symetra in connection with the Services, shall be successfully integrated and interfaced, and shall be compatible with the services, equipment, networks, software, enhancements, upgrades, modifications and other resources that are being provided to Symetra by Third Party service providers (collectively, the “Third-Party Resources”); provided, however, that any such responsibilities of ACS for Resources shall be detailed in the applicable Schedule 2. Further, ACS shall ensure that none of the Services or other items provided to Symetra by ACS shall be adversely affected by, or shall adversely affect, those of any such Third Party providers, whether as to functionality, speed, service levels, interconnectivity, reliability, availability, performance, response times or similar measures. To the extent that any interfaces need to be developed or modified in order for the Resources to integrate successfully, and be compatible with, the Third-Party Resources, ACS shall develop or modify such interfaces as part of the Services, pursuant to the process set forth in Section 2.8. If a question arises as to whether a particular defect, malfunction or other difficulty with respect to the Services was caused by Resources or by Third-Party Resources, ACS shall be responsible for correcting, at its cost, such defect, malfunction or difficulty, except to the extent that ACS can demonstrate, to Symetra’s satisfaction, by means of a Root-Cause Analysis, that the cause was not caused by Resources. In addition, ACS shall cooperate with all Third Party service providers of Symetra to coordinate its provision of the Services with the services and systems of such Third Party service providers. Subject to reasonable confidentiality requirements, such cooperation shall include providing: (a) applicable written information concerning any or all of the systems, data, computing environment, and technology direction used in providing the Services; (b) reasonable assistance and support services to such Third Party providers; (c) access to systems and architecture configurations of ACS to the extent reasonably required for the activities of such Third Party providers; and (d) access to and use of the Resources.

Service Compatibility. ACS The Contractor will endeavor to work cooperatively with DSHS's other information technology vendors to problem solve, innovate and coordinate resources. The Contractor shall use commercially reasonable efforts to work collaboratively with DSHS (and its other vendors) to ensure that all services, equipment, networks, software, enhancements, upgrades, modifications and other resources, including those provided by Symetra DSHS (collectively, the "Resources"), that are: (a) used by ACS to deliver the Services; Contractor or (b) approved by ACS the Contractor for utilization by Symetra DSHS in connection with the Services, shall be successfully integrated and interfaced, and shall be compatible with the services, equipment, networks, software, enhancements, upgrades, modifications and other resources that are being provided to, recommended to Symetra and/or approved for use by Third Third-Party service providers Contractors (collectively, the "Third-Party Resources"); provided, however, that any such responsibilities of ACS for Resources shall be detailed in the applicable Schedule 2. Further, ACS the Contractor shall use commercially reasonable efforts to ensure that none of the Services or other items provided to Symetra DSHS by ACS the Contractor shall be adversely affected by, or shall adversely affect, those of any such Third Third-Party providersContractors, whether as to functionality, speed, service levels, interconnectivity, reliability, availability, performance, response times or similar measures. While the Contractor is not ultimately responsible for the quality or functionality of Third-Party Resources, the Contractor will proactively engage with DSHS regarding architecture to recommend best practices to bring cost-effective performance to DSHS IT environment. To the extent that any interfaces need to be developed or modified in order for the Resources to integrate successfully, and be compatible with, the Third-Party Resources, ACS the Contractor shall develop or modify such interfaces as part of the Services, pursuant to the process set forth in Section 2.8Attachment 07 – Process Ownership Plan, and Attachment 01 – SOW_SLR_Pricing_BHD . If a question arises In the event of any Issue as to whether a particular defect, malfunction or other difficulty with respect to the Services was caused by Resources or by Third-Party Resources, ACS the Contractor shall be responsible for correcting, correcting at its cost, such defect, malfunction or difficulty, except to the extent that ACS the Contractor can demonstrate, to Symetra’s DSHS's reasonable satisfaction, by means of a Root-Cause Analysis, that the cause was not caused by due to Resources. In addition, ACS the Contractor shall cooperate with all Third Third-Party service providers Contractors of Symetra DSHS to coordinate its provision of the Services with the services and systems of such Third Third-Party service providersContractors. Subject to reasonable confidentiality and security requirements, such cooperation shall include providing: (ai) applicable written information concerning any or all of the systems, data, computing environment, and technology direction used in providing the Services; (bii) reasonable assistance and support services to such Third Third-Party providersContractors; (ciii) access to systems and architecture configurations of ACS the Contractor, and of DSHS to the extent reasonably required for the activities of such Third Third- Party providersContractors; and (div) access to and use of the Resources.
