Service Provider Tools. Service Provider’s general tools, ideas, concepts, processes, methods, techniques, developments, and industry knowledge and know-how applicable to its business that: (a) were existing before the Effective Date; or (b) are developed outside the scope of the Service Agreement (the “Service Provider Tools”), are and will remain the property of Service Provider. If in the course of performing the Services, Service Provider incorporates Service Provider Tools into any Work Product, Service Provider will grant, and does now grant, to the Client a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to reproduce, manufacture, modify, distribute, use, and otherwise exploit the Service Provider Tools solely as part of or in connection with the applicable Work Product.

Service Provider Tools. All Service Provider Tools shall be and shall remain the exclusive property of Service Provider, and Customer shall have no rights or interests in the Service Provider Tools except as expressly set forth in this Agreement. Service Provider makes no representations or warranties hereby with respect to the Service Provider Tools. Nothing contained in this Agreement shall restrict Service Provider from the use of any Tools that Service Provider owns, develops for Customer or has access to under this Agreement.

In the event of any actions or inactions by the Service Provider that would constitute a violation of this Agreement or otherwise cause any harm, Apple reserves the right to require You to cease using such Service Provider.
