Common use of Services commencement Clause in Contracts

Services commencement. (a) If the Works Schedule provides that Works must be completed before the Services may commence, the Service Provider must complete the Works in accordance with that Schedule and by the date specified in that Schedule. (b) Without limiting clause 3(a), the Service Provider must undertake such tests in accordance with the Works Schedule as may be necessary to evidence, to Western Power’s satisfaction, that the Works have been completed in accordance with the requirements of the Works Schedule. (c) The Service Provider must ensure that no later than the Service Commencement Date: (i) the Facility is completed such that it is able to provide the Services safely and in accordance with this Contract; (ii) the Facility has successfully completed any tests set out in the Services Schedule to demonstrate that it has been completed and able to provide the Services; (iii) reasonable access to the Facility has been provided to Western Power, at times acceptable to Western Power, to enable Western Power to carry out any inspections set out in the Services Schedule; and (iv) the Service Provider has provided to Western Power any documents or information reasonably required by the Services Schedule. (d) If the requirements set out in clause 3(c) are not satisfied on or before: (i) the Services Commencement Date, the Service Provider must pay Western Power liquidated damages at the LD Rate for each day from the Services Commencement Date until the date on which those requirements are satisfied; (ii) the Sunset Date, then Western Power may, by notice to the Service Provider at any time prior to those requirements being satisfied (if ever), terminate this Contract with immediate effect or with effect from such later date nominated in the notice.
