Shared Facility Services Clause Samples
Shared Facility Services. Services, products or systems provided by Supplier to a third party from any shared Supplier facility or using any shared Supplier resources and not constituting Services provided to an Eligible Recipient pursuant to this Agreement;
Shared Facility Services. Subject to the terms and conditions of this Agreement, the Shared Facilities Services shall be performed (i) in all material respects, in substantially the same manner, in substantially the same volumes (unless otherwise mutually agreed in writing by the Parties) and with no less than the degree of quality, care and diligence as such Shared Facilities Services were performed during the twelve (12) months immediately prior to the date hereof, and (ii) in compliance in all material respects with applicable Law.
Shared Facility Services. Services, products or Systems (not constituting Services provided pursuant to this Agreement) provided by CSC to a Third Party from any shared CSC Facility or using any shared CSC resources and not constituting Services provided to an Eligible Recipient pursuant to this Agreement.

Any claim, other than an indemnification claim under this Agreement, initiated by (i) a Supplier Affiliate or Subcontractor asserting rights under this Agreement or a Subscription Agreement or Statement of Work or (ii) any entity to which Supplier assigned, transferred, pledged, hypothecated or otherwise encumbered its rights to receive payments from Allianz under this Agreement or a Subscription Agreement, Service Description or Statement of Work.
