Site Services Agreement. Buyer shall have executed and delivered to Seller the Site Services Agreement, substantially in the form of Exhibit D.
Site Services Agreement. Seller shall have executed and delivered to Buyer a Site Services Agreement pursuant to which, during the term of the Facility Lease, Seller shall provide at a commercially reasonable price to Buyer electricity, cooling water, D.I. water, compressed air, and nitrogen, building, clean room and environmental chamber maintenance and repair services, security services, parking, administrative and management information systems services at its then current prices for such services (the "SITE SERVICES AGREEMENT") at a commercially reasonable price. The Site Services Agreement shall be in form and substance substantially as set forth in Exhibit D.
Site Services Agreement. During the period from the Execution Date until the earlier of the Closing and the valid termination of this Agreement pursuant to its terms, the Parties shall negotiate in good faith the terms of the Site Services Agreement as promptly as practicable following the Execution Date (and in any event prior to the Closing) to be entered into and effective as of the Closing Date, which terms shall be substantially consistent with the terms set forth in the term sheet attached as Exhibit F (with such changes as may be reasonably agreed to by both Seller and Buyer); provided that if the Parties or their Affiliates are unable to enter into a definitive Site Services Agreement by the Closing, the Closing shall proceed without -108- the execution of the Site Services Agreement, all the terms and conditions in the term sheet attached as Exhibit F shall be binding on the Parties, and the Parties shall cause any respective Affiliate that is named therein as a party to the Site Services Agreement to comply with the terms thereof.
Site Services Agreement. Notwithstanding anything to the contrary ----------------------- contained herein or in any Schedule, Exhibit or Appendix attached hereto, if any Transitional Service is being provided under a certain Site Services Agreement dated the date hereof by and between Du Pont and Dade, such Transitional Service shall not be provided under this Agreement.
Site Services Agreement. Seller or its Affiliates shall have executed and delivered the Site Services Agreement in substantially the form set forth in Exhibit 9.2(h)(viii);
