Maintenance and Repair Services. Subject to the requirements and conditions set forth in Article IV hereof, Operator shall maintain and repair (structurally and otherwise) and repaint as appropriate for maintenance or appearances in a good, workmanlike manner: (i) all paved landing areas, including maintenance and repair of the surface of the Barge and pier, all exterior lights on the Barge and pier, markings and striping, and all navigational aids; any changes to the exterior lighting will be subject to Agreement Administrator’s prior written approval. (ii) all vehicles, equipment, machinery and tools provided by the Operator; and (iii) the Heliport, including all Heliport grounds (including, without limitation, the terminal facilities, all walkways, perimeter fences, and grass, trees and shrubs) and all buildings, structures and fixtures located on the Heliport including, without limitation, fuel tanks, plumbing, electrical, sprinkler, heating and air conditioning systems, signs, apparatus, Barge, berthing infrastructure (excluding the substructure) and equipment.

If the SUPPLIER cannot complete the approved repairs within four (4) business hours after receiving approval, the SUPPLIER shall provide the CITY with a written estimate of time for additional diagnosis and repairs. g. If the SUPPLIER cannot complete repairs within thirty-six (36) business hours (three business days) after receiving the service request, the SUPPLIER shall provide a relief unit that is functionally equivalent to the purchased equipment. All costs associated with securing and delivering the relief unit shall be at the SUPPLIER's expense. h. The chassis is an integral part of the street sweeper, and the SUPPLIER shall maintain the chassis to the same standards as the sweeper assembly. The SUPPLIER shall state the costs and services, including service intervals, they will provide to maintain the sweeper assemblies and the chassis to the manufacturer warranty specifications. i. The SUPPLIER shall provide the City with designated points of contact (list of names and phone numbers) that will be available twenty-four (24) hours per day, seven (7) days a week, and an escalation procedure to enable SUPPLIER’s personnel to maintain contact, as needed, with the City.

(ii) all vehicles, equipment, machinery and tools provided by the Operator; and (iii) JRB grounds (including, without limitation, the terminal facilities, all walkways, perimeter fences, grass cutting and removing trees and shrubs where and when necessary) and all buildings, structures and fixtures located at JRB including, without limitation, fuel tanks, plumbing, electrical, sprinkler, heating and air conditioning systems, signs, apparatus, Barge, berthing infrastructure (excluding the Substructure) and equipment, except where this Agreement provides any such items are to be repaired or maintained by the City.

Major maintenance services which require skilled labor, tradespeople or other subcontractors shall not be performed by Manager, and may be secured through Manager on behalf of Owner under separate contract, and will include a 15% administration fee payable to Manager.
