Verizon may provide to you, at no cost or for a fee, softw are ow xxx by Verizon or its third party licensors, providers or suppliers in connection w ith the Services ("Softw are"). You may use the Softw are in object code form only, on the hardw are on w hich it is installed, only as part of or for use w ith the Service and for no other purpose. The Softw are may be accompanied by an end user license agreement from Verizon or a third party. Your use of the Softw are is governed by the terms of that license agreement and by this Agreement, w here applicable. You may not install or use any Softw are that is accompanied by or includes an end user license agreement unless you first agree to the terms and conditions of the end user license agreement. b. If the Softw are is not accompanied by an end user license agreement from Verizon or a third party, you are hereby granted a personal, revocable, non-exclusive, non-transferable license by Verizon or its third party licensors, providers or suppliers, to use the Softw are (and any corrections, updates and upgrades thereto), for the sole purpose of enabling you to use the Service. c. You agree that the Softw are is the confidential information of Verizon or its third party licensors, providers or suppliers, w hich you shall not disclose to others or use except as expressly permitted herein. The Softw are contains copyrighted material, trade secrets, patents, and proprietary information ow xxx by Verizon or its third party licensors, providers, or suppliers. You may not de- compile, reverse engineer, disassemble, attempt to discover any source code or underlying ideas or algorithms of the Softw are, otherw ise reduce the Softw are to a human readable form, modify, rent, lease, loan, use for timesharing or service bureau purposes, reproduce, sublicense or distribute copies of the Softw are, or otherw ise transfer the Softw are to any third party. You may not remove or alter any trademark, trade name, copyright or other proprietary notices, legends, symbols, or labels appearing on or in copies of the Softw are. You are not granted any title or rights of ow nership in the Softw are. You acknow ledge that this license is not a sale of intellectual property and that Verizon or its third party licensors, providers or suppliers continue to ow n all right, title and interest, including but not limited to all copyright, patent, trademark, trade secret, and moral rights, to the Softw are and related documentation, as w e...

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Service Provided 2.1 AT&T OKLAHOMA will use the practices and procedures and the rules and regulations applicable to its provision of White Pages directories on a nondiscriminatory basis. AT&T OKLAHOMA will include in appropriate White Pages directories the primary alphabetical listings of all CLEC customers (other than non-published or non-list Customers) located within the local directory area. When CLEC provides its subscriber listing information to AT&T OKLAHOMA’s listings database, CLEC will receive for its End User, one primary listing in AT&T OKLAHOMA’s White Pages directory and a listing in AT&T OKLAHOMA’s directory assistance database. 2.2 CLEC will furnish to AT&T OKLAHOMA subscriber listing information pertaining to CLEC customers located within the AT&T OKLAHOMA local directory area, along with such additional information as AT&T OKLAHOMA may require to prepare and print the alphabetical listings of said directory. AT&T OKLAHOMA will accept listing information from CLEC according to the manual and mechanized listing methods, procedures and ordering instructions provided via the CLEC Online website. CLEC agrees to submit listing information via the mechanized process within six (6) months of the effective date of this Attachment, or upon CLEC reaching a volume of two hundred (200) listing updates per day, whichever comes first. Notwithstanding the foregoing, CLEC may continue to manually submit directory listing information for complex caption sets with two (2) or greater degrees of indent. CLEC will submit listing information within three (3) Business Days of installation, disconnection or other change in service (including change of non-listed or non-published status) affecting the Directory Assistance database or the directory listing of a CLEC retail end users. AT&T OKLAHOMA shall process CLEC orders for updates to subscriber listing information within three (3) Business Days of receipt. CLEC must submit all listing information intended for publication by the directory close date. Both parties will use commercially reasonable efforts to ensure the accuracy of the submission and processing of the listing updates. 2.3 AT&T OKLAHOMA will include the listing information for CLEC’s customers for Resale services in AT&T OKLAHOMA’s White Pages directory database in the same manner as it includes listing information for AT&T OKLAHOMA’s end user customers. 2.4 AT&T OKLAHOMA will provide, via the AT&T CLEC Online web site, the directory listing criteria, methods, procedures and ordering information to CLEC for White Pages listings and will provide changes to such criteria not later than thirty (30) days in advance of such changes becoming effective. This information will include, but not be limited to: 2.4.1 Business rules for standard White Pages listings (e.g., space restrictions, non-listed and non- published listings, abbreviated listings, secondary, additional and foreign listings); 2.4.2 Business rules for residential Enhanced White Pages (e.g., bold, indent, italics) listings available. 2.5 Publication schedules for the White Pages: CLEC can access via the AT&T CLEC Online website, the directory close dates for areas where CLEC is providing local service. AT&T OKLAHOMA will provide directory schedule updates, including the directory schedule for a new calendar year, not later than thirty

  • Access to the Services ID’s for access to Vendor Core Research and Analyst Inquiry may not be shared. Access to the Services is restricted to the number of named individuals (each a “Licensed User”) as identified in the Customer Purchase Order.

  • Student Data to Be Provided In order to perform the Services described in this Article and Exhibit “A”, LEA shall provide the categories of data described in the Schedule of Data, attached hereto as Exhibit “B”.

  • Tax Services (i) Where required by the Code, withhold taxes (including backup withholding taxes) on U.S. residents and non-resident alien accounts, report such withheld taxes to relevant shareholders and the IRS and remit such withheld taxes to the IRS. Adjust non-resident alien withholding to reflect qualified interest income received by the Funds. (ii) Prepare and file IRS Form 1099 and other tax reporting forms required by the IRS with respect to dividends and distributions. Prepare and file any required state tax reporting with respect to dividends and distributions. (iii) Provide due diligence process for IRS Form W-9 and W-8 solicitations and encode shareholder records with properly returned information. (iv) Perform cost basis accounting accumulation and report the basis of redeemed Shares as required by the Code. (v) Retain tax reporting information from processed transactions in appropriate data files for preparation of IRS forms and information returns. (vi) Provide system and work stream to comply with the Foreign Account Tax Compliance Act ("FATCA"), including but not limited to: (A) During the account opening process, collect and store in an easily searchable and viewable file information required to comply with FATCA account classification requirements. (B) Initiate, monitor and maintain requests for FATCA documentation from account holders, including the ability to electronically record a review of FATCA documentary evidence (e.g., who reviewed, what was reviewed, when). (C) Monitor and report to the Funds changes to account holder information which impacts their FATCA classification. (D) In compliance with FATCA, withhold taxes at the rate required by FATCA on payments made to non-participating foreign financial institutions and non-financial foreign entities ("NFFE") and remit such withheld taxes to the IRS. (E) Prepare tax reporting forms required by FATCA, including those relating to US owners of NFFEs.

  • Information to be Provided The notice of intent to introduce a technological change shall contain: the nature of the change; effective date of the change; the approximate number, type and location of Local members affected by change; and the anticipated effects the change may have on Local members. The Board shall update this information as new developments arise and modifications are made.

  • How Non-network Providers Are Paid If you receive care from a non-network provider, you are responsible for paying all charges for the services you received. You may submit a claim for reimbursement of the payments you made. For the limited circumstances listed below, your copayment and deductible will apply at the network level of benefits: • emergency care (emergency room, urgent care and ambulance services); • we specifically approve the use of a non-network provider for covered healthcare services, see Network Authorization in Section 5 for details; • covered healthcare services are rendered by a non-network provider at a network For those circumstances where we cover services from a non-network provider, we reimburse you or the non-network provider, less any copayments and deductibles, up to the lesser of: • our allowance; • the non-network provider’s charge; or • the benefit limit. You are responsible for the deductible, if one applies, and the copayment, as well as any amount over the benefit limit that applies to the service you received. You are liable for the difference between the amount that the non-network provider bills and the payment we make for covered healthcare services. Generally, we send reimbursement to you, but we reserve the right to reimburse a non-network provider directly. We reimburse non-network provider services using the same guidelines we use to pay network providers. Generally, our payment for non-network provider services will not be more than the amount we pay for network provider services. If an allowance for a specific covered healthcare service cannot be determined by reference to a fee schedule, reimbursement will be based upon a calculation that reasonably represents the amount paid to network providers. For emergency services, we reimburse non- network providers, in accordance with R.I. Gen. Laws § 27-18-76, the greater of our allowance, our usual guidelines for paying non-network providers, or the amount that would be paid under Medicare, less any copayments or deductibles. Payments we make to you are personal. You cannot transfer or assign any of your right to receive payments under this agreement to another person or organization, unless the R.I. General Law §27-20-49 (Dental Insurance assignment of benefits) applies. For information about network authorization requests to seek covered healthcare services from a non-network provider when the covered healthcare service cannot be provided by a network provider, please see Network Authorization in Section 5.

  • INDEPENDENT PERSONAL SERVICES 1. Income derived by a resident of a Contracting State in respect of professional services or other activities of an independent character shall be taxable only in that State unless he has a fixed base regularly available to him in the other Contracting State for the purpose of performing his activities. If he has such a fixed base, the income may be taxed in the other State but only so much of it as is attributable to that fixed base. 2. The term "professional services" includes especially independent scientific, literary, artistic, educational or teaching activities as well as the independent activities of physicians, lawyers, engineers, architects, dentists and accountants.

  • Maintenance of Membership Any Employee who is a member in good standing, or is reinstated as a member of the Union shall, as a condition of continued employment, maintain such membership in good standing throughout the term of this Agreement.

  • Access to Services Subject to and in accordance with the terms of this Agreement, including any Schedules, Company grants You a non-exclusive, non-sublicensable, nontransferable, non-assignable, revocable license for the term of this Agreement to access and use the Services. Services may only be used by Your Users for internal business purposes only. You agree to comply with the terms and conditions of this Agreement, including any Schedules, and with all applicable Company procedures and policies that further define use of the Services. You acknowledge and agree that the actions of any of Your Users with respect to the Services will be deemed to be actions by You and that any breach by any of Your Users of the terms of this Agreement, including any Schedule, will be deemed to be a breach by You.
