Technical Assistance and Support. Cisco will provide Ambient such technical assistance and support as set forth in the Statement of Work.
Technical Assistance and Support. A. The Company agrees to provide Licensee, without charge, with software upgrades to Licensed Software including new versions of Licensed Software running under new operating systems and running under database management software upgrades, as they may become available. The Company shall provide to the Licensee such updates, developments, enhancements and improvements to the Licensed Software as may be available to the Company from time to time and any replacements to the Licensed Software, without cost, to assure that the Licensed Software provided by the Licensee through the Localized Sites is the same system (or as functionally equivalent as is feasible given differences in multinational operating systems which cannot be controlled by the Parties) as that which is utilized on the Tripod Site. Licensee shall be responsible for providing any software upgrades to the Licensed Software to Permitted Sublicensees. At the time the Company makes available to Licensee any upgrades to the Licensed Software, the Company shall advise Licensee of the changes to the Licensed Software from the previous version of the Licensed Software provided to Licensee
B. In the event that the Company makes available through the Tripod Site any product or service which is either owned exclusively by the Company or which is licensed by the Company and which the Company has the right to sublicense to a third party, then, if requested by Licensee, the Company shall make such product or service available to Licensee for inclusion in Tripod Europe, on such terms and conditions as are mutually acceptable to the Company and Licensee. The Parties agree that the Licensee shall pay to the Company all costs and expenses (including all fully burdened costs of the Company) relating to the localization and customization of the products and services for the Territory. If any fees are payable to third parties in respect of sublicenses described herein, the Company shall advise Licensee, and the Parties shall negotiate a reasonable fee to the extent Licensee desires to sublicense such rights. Such fee shall be paid by Licensee.
C. The Company shall provide Licensee, upon request, all technical support, including access to the Company's technical staff and assistance in the delivery and installation of the Licensed Properties, reasonably necessary for Licensee to complete development of and operate Localized Sites. Technical Assistance and Support. The Able Trust, in partnership with CFEF and VR, will provide program supports and resources to the granted awarded sites.
Technical Assistance and Support. Upon the request of LMC and at reasonable times and upon reasonable notice, LMT agrees to make its employees available to provide technical support and assistance with respect to business, products, and technology of LMC. In consideration of such technical support and assistance, LMC will pay LMT an hourly charge in accordance with the fee schedule attached as Exhibit A hereto. The obligation to provide such technical support and assistance shall expire on the fifth (5th) anniversary of the Effective Date unless the parties otherwise agree.
Technical Assistance and Support. During the term of this Agreement, Agilent shall make available to Adaptec, free of charge, at Adaptec's request, a reasonable amount of ongoing technical assistance with respect to the Chips, the Fibre Channel Driver Software, the Agilent Fibre Channel Driver Software Modifications, the Boards, the Board Designs, and the Agilent Board Designs Modifications consistent with the needs of Adaptec's business.
Technical Assistance and Support i. ESD Responsibilities
1. Reaching out to district or building personnel as needed to monitor status of assessment during the fall.
2. When feasible, designating a coach to observe teachers in their classrooms, and offer individualized guidance on organizing observations in the classroom environment and curriculum.
3. Providing technical assistance to address challenges with the on-line system (in addition to the support provided by Teaching Strategies Help Desk).
4. Offering strategies for conducting observations of kindergarten students.
5. Providing support to teachers voluntarily going through the Inter-Rater Reliability process.
6. Providing OSPI with information and feedback about what is working well and what needs strengthening.
ii. OSPI Responsibilities
1. Serving as intermediary between the ESDs and Teaching Strategies in the event there are technological challenges beyond the scope of what the ESDs can address.
2. Serving as an information clearinghouse to disseminate information on best practices and lessons learned throughout the assessment implementation process.
3. Working collaboratively with ESDs to address on-going challenges and concerns.
4. Assigning user names to all District Assessment Coordinators (DACs), designated district WaKIDS support staff, and principals.
5. Providing ESDs with contact information for principals, district administrators, and teachers.
6. Providing training for, and assistance to DACs and designated district coordinators to perform their designated roles in supporting WaKIDS.
Technical Assistance and Support. In addition to the provisions set forth in Section 1.4 of the CONTRACT the following provisions are added:
(a) Commencing on completion of the Analysis and Report as defined in Section 6 below and upon mutual agreement between the PARTIES and XXXXXXXXX, XXXXXXXXX shall provide up to (1) qualified engineer and (1) technical person on-site at the PLANT who will rotate with each other to provide technical assistance for the final start-up of the GASIFIERS.
(b) The PARTIES shall pay XXXXXXXXX U.S. $40,000 per month for the technical assistance and support set forth in Section 5 (a) of this AMENDMENT. Each monthly amount shall be paid to XXXXXXXXX in advance by no later than the 1st day of each month. (Removed start date) Such payments shall be made by means of wire transfers made to the account number specified by XXXXXXXXX.
Technical Assistance and Support. 4.1. Support Services. Health Logix shall provide Customer with remote support services (the “Support Services”) via email at xxxxxxx@Xxxxxx-Xxxxx.xxx, as provided in Health Logix support policy as set forth in Section 16.0, provided that Customer maintains the Connection. Health Logix reserves the right to change the Support Services telephone number or e-mail address after providing notice to Customer of any such change. Customer shall route all telephone calls, emails and other communications requesting support services from Health Logix through not more than two (2) individual technical contact persons located at such Customer site as set forth on Section 16.0.
