Solicitation Material, Withdrawal. The Company agrees to furnish each Soliciting Dealer with as many copies as you may reasonably request of any Offer Material. The Company will, in a timely manner, provide the Dealer Manager with a duplicate list of the names and addresses of the registered shareholders of IAMGold and The Canadian Depository for Securities Limited participant list, in such form(s) as are in the possession of the Company. The Company agrees that, within a reasonable time prior to using any Offer Material, it will submit copies of such material to you and will not use or publish any such material without your comment. During the term of the Offer and so long as the Registration Statement shall be effective, the Company shall inform you promptly after it receives notice or becomes aware of the happening of any event, or the discovery of any fact, that would require the making of any change in any Offer Material then being used or that would affect the accuracy or completeness of any representation or warranty contained in this Agreement if such representation or warranty were being made immediately after the happening of such event or the discovery of such fact. In the event that (i) the Company uses or permits the use of any Offer Material (a) that has not been submitted to you and your counsel for comment, or (b) that has been so submitted and with respect to which you or your counsel have made comments, but which comments have not resulted in a response reasonably satisfactory to you to reflect such comments, (ii) the Company shall have breached any of its representations, warranties, agreements, obligations or covenants contained herein, (iii) there shall have occurred any material adverse change in the business or operations of the Company and its subsidiaries taken as a whole (a "MATERIAL ADVERSE EFFECT"), that, in your judgment, makes it impracticable or inadvisable to carry out the Offer, the exchange of Securities pursuant thereto or the performance of this Agreement, (iv) the Offer is terminated or withdrawn for any reason or (v) any stop order, restraining order, injunction or denial of an application for approval has been issued in connection with the Offer and not thereafter stayed or vacated or any proceeding, litigation or investigation in connection with the Offer has been initiated, that, in either case in your judgment, makes it impracticable or inadvisable to carry out the Offer, the exchange of Securities pursuant thereto or the performance of this Agreeme...

Solicitation Material, Withdrawal. (a) The Company hereby acknowledges that the Exchange Offer Materials and Proxy Statement have been, or will be, prepared and approved by the Company and are the Company’s sole responsibility with respect to their accuracy and completeness. To the extent required by Rule 13e-4 under the Exchange Act, the Company shall disseminate the Exchange Offer Materials to each registered holder of any Existing Notes on or as soon as practicable after the Commencement Date so as to fulfill all requirements thereof as to the commencement of the Offers and comply in all material respects with its obligations thereunder. Thereafter, to the extent required by Rule 13e-4, until the date three days prior to the expiration date of the Offers (the “Expiration Date”), the Company shall use its reasonable efforts to cause copies of such Exchange Offer Materials to be mailed to each person who becomes a holder of record of any Existing Notes prior to such date. The Company acknowledges and agrees that you may use the Exchange Offer Materials as specified herein without assuming any responsibility on its part for independent verification of any information therein, except for the written information furnished to the Company by the Dealer Manager specifically for inclusion therein, which information the parties hereto agree is limited to the information included in Schedule A hereto (the “Submitted Information”), and the Company represents and warrants to you that you may rely on the accuracy and completeness of all of the Exchange Offer Materials and any other information delivered to you by or on behalf of the Company in connection with the Offers (including without limitation the Proxy Statement) without assuming any responsibility for independent verification of such information, except for the Submitted Information, or without performing or receiving any appraisal and evaluation of the assets or liabilities of the Company.
Solicitation Material, Withdrawal. (a) The Company agrees to furnish the Dealer Managers with as many copies as the Dealer Managers may reasonably request of the Offering Documents, any exhibits thereto, any information incorporated by reference therein, any amendments or supplements thereto and any other documents or materials whatsoever relating to the Exchange Offer (collectively, as amended or supplemented from time to time, the “Exchange Offer Material”) to be used by the Company in connection with the Exchange Offer.

Provided, however, the goods or services must be competitive in some respect to the Company’s business during such time.

  • Anti-Solicitation In light of the amount of sensitive and confidential information involved in the discharge of the Executive’s duties, and the harm to the Corporation that would result if such knowledge or expertise were disclosed or made available to a competitor, and as a reasonable step to help protect the confidentiality of such information, the Executive promises and agrees that during the Term of Employment and for a period of two (2) years thereafter, the Executive will not use the Company’s confidential information to, directly or indirectly, individually or as a consultant to, or as an employee, officer, shareholder, director or other owner or participant in any business, influence or attempt to influence the customers, vendors, suppliers, joint venturers, associates, consultants, agents, or partners of any entity within the Company Group, either directly or indirectly, to divert their business away from the Company Group, to any individual, partnership, firm, corporation or other entity then in competition with the business of any entity within the Company Group, and he will not otherwise materially interfere with any business relationship of any entity within the Company Group.

  • NON-SOLICITATION OF BUSINESS PARTNERS During Executive’s employment hereunder, and for a period of twelve (12) months thereafter, Executive shall not, without the prior written consent of the Company, persuade or encourage any business partners or business affiliates of (i) the Company and/or (ii) any of its subsidiaries and/or affiliates with whom Executive has direct contact during his employment hereunder, in each case, to cease doing business with the Company and/or any of its subsidiaries and/or affiliates or to engage in any business competitive with the Company and/or its subsidiaries and/or affiliates.

  • Antisolicitation The Executive promises and agrees that, during the period of his employment by the Company and for a period of one year thereafter, he will not influence or attempt to influence customers of the Company or any of its present or future subsidiaries or affiliates, either directly or indirectly, to divert their business to any individual, partnership, firm, corporation or other entity then in competition with the business of the Company, or any subsidiary or affiliate of the Company.
