Solvency Certificate and Opinion. On the Closing Date, Joint Lead Arrangers shall have received (i) a Solvency Certificate from the Chief Financial Officer of HM and (ii) an opinion from an independent valuation consultant reasonably satisfactory to Joint Lead Arrangers, each dated the Closing Date and addressed to Administrative Agent, Joint Lead Arrangers and Lenders, and in form, scope and substance reasonably satisfactory to Joint Lead Arrangers, with appropriate attachments and demonstrating that after giving effect to the Acquisition and the consummation of all transactions contemplated thereby, Company and its Subsidiaries are and will be solvent.
Solvency Certificate and Opinion. A certificate from the -------------------------------- chief financial officer of Borrower and, at Borrowers expense, a nationally recognized appraisal firm or valuation consultant reasonably satisfactory to An-angers in form and substance reasonably satisfactory to An-angers and the Lenders with respect to the Solvency of each Obligor immediately after giving effect to the Transactions.
Solvency Certificate and Opinion. A certificate from the chief financial officer of Borrower and, at Borrower's expense, an xxxxxxx of Valuation Research in foxx and substance reasonably satisfactory to Arrangers with respect to the Solvency of Parent (on a consolidated basis) and of Borrower (on a consolidated basis) immediately after giving effect to the Transactions.
Solvency Certificate and Opinion. In such officer's -------------------------------- official (and not individual) capacity and without personal liability, a certificate from the chief financial officer of Borrower and, at Borrower's expense (not to exceed 50% thereof up to $25,000), an opinion of a nationally recognized appraisal firm or valuation consultant reasonably satisfactory to the Arranger in form and substance reasonably satisfactory to the Arranger with respect to the Solvency of Borrower and each other Obligor immediately after giving effect to the Transactions.
Solvency Certificate and Opinion. A certificate in the form of Exhibit C-2 from the chief financial officer of Borrower as to the Solvency of each Obligor (on a consolidated basis) immediately after giving effect to the Transactions on the Closing Date and, at Borrower's expense, an opinion of Valuation Research in form and substance reasonably satisfactory to Agents with respect to the Solvency of each of Parent and Borrower (each on a consolidated basis) immediately after giving effect to the Transactions on the Closing Date.
Solvency Certificate and Opinion. A certificate from the chief financial officer of Borrower substantially in the form of EXHIBIT M, and, at Borrower's expense, an opinion of Xxxxxxxx Xxxxx Xxxxxx & Xxxxx Financial Advisors, Inc. in form and substance reasonably satisfactory to the Lead Arranger with respect to the Solvency of Borrower (on a consolidated basis) immediately after giving effect to the Transactions.
