Special Documents. Lessor shall retain custody of all documents listed on the index provided by Lessor to Lessee at Closing and which are stored at the File Pro warehouse in Corpus Christi, Texas as of the date of Closing. Lessor agrees to retain and store said documents in the File Pro warehouse for so long as Lessor believes that it needs access to the documents to defend any claim or Action relating to the Leased Property or any activities or operations relating to the Leased Property. Lessor, at Lessee's expense, shall make all such documents reasonably available to Lessee at the File Pro warehouse on an as needed basis during normal business hours. Special Documents. For those documents that contain a debtors’ social security or that are tax returns USER shall: If the document is an identification or a social security card, the USER shall upload said document in color, and should further use the UDP entry identified as ID/SS. The ID/SS entry is a restricted form at TRUSTEE’s office that can only be seen by authorized personnel. If the document is a tax return, the USER shall upload said document in clear and legible manner and should further use the UDP entry identified as Tax Documents. The Tax Documents is a restricted form at TRUSTEE’s office that can only be seen by authorized personnel. For all those documents that contain “Personal Identifiable Information” (PII), USER shall redact such information prior to sending them to TRUSTEE via UDP.

(b) Except as permitted by Section 7.2, amend, modify or otherwise change its name, jurisdiction of formation or organizational identification number, in each case without providing the Lender not less than five (5) days prior written notice (or such shorter notice as the Lender may consent to in writing in its sole discretion). (c) Without not less than five (5) days prior written consent of the Lender, change any executive officer of the Borrower. (d) Amend, modify or otherwise change its Formation Documents or any agreement or arrangement entered into by it, with respect to any of its Equity Interests, or enter into any new agreement with respect to any of its Equity Interests, except any such amendments, modifications or changes or any such new agreements or arrangements pursuant to this Section 7.7(d) that, either individually or in the aggregate, are not adverse to the Lender and could not reasonably be expected to result in a Material Adverse Change.

  • Guaranties, Collateral Documents and Other Loan Documents At any time after the execution and delivery thereof (i) any material Loan Guaranty for any reason ceasing to be in full force and effect (other than in accordance with its terms or as a result of the occurrence of the Termination Date) or being declared, by a court of competent jurisdiction, to be null and void or the repudiation in writing by any Loan Party of its obligations thereunder (other than as a result of the discharge of such Loan Party in accordance with the terms thereof and other than solely as a result of acts or omissions by the Administrative Agent or any Lender), (ii) this Agreement or any material Collateral Document ceasing to be in full force and effect (other than solely by reason of (x) the failure of the Administrative Agent to maintain possession of any Collateral actually delivered to it or the failure of the Administrative Agent to file UCC (or equivalent) continuation statements, (y) a release of Collateral in accordance with the terms hereof or thereof or (z) the occurrence of the Termination Date or any other termination of such Collateral Document in accordance with the terms thereof) or being declared null and void or (iii) the contesting by any Loan Party of the validity or enforceability of any material provision of any Loan Document (or any Lien purported to be created by the Collateral Documents or Loan Guaranty) in writing or denial by any Loan Party in writing that it has any further liability (other than by reason of the occurrence of the Termination Date), including with respect to future advances by the Lenders, under any Loan Document to which it is a party; it being understood and agreed that the failure of the Administrative Agent to maintain possession of any Collateral actually delivered to it or file any UCC (or equivalent) continuation statement shall not result in an Event of Default under this clause (k) or any other provision of any Loan Document; or
