Special Veto. (A) If (1) the requisite Shareholder approval pursuant to Clause 5(s)(ii) has been obtained (the “Initial Approval”) for a Part B Reserved Matter relating to an investment by the Company of more than United States Dollars Fifty Million (US$50,000,000) (whether by way of cash or otherwise, inclusive of any third party debt) in a single investment or project (“Material Capital Expenditure”) and (2) the Goldman Initial Subscription and the Goldman Additional Subscription has been completed, each of GTI CAPITAL, Blue Chandra and Goldman, if such Shareholder dissented to the Initial Approval, shall have the right to raise a second objection to the Material Capital Expenditure (“Second Objection”).   • Special Situations The parties recognize that under certain circumstances a Change in Control may occur under conditions which make it inappropriate for Employee to receive the termination benefits or protection set forth in this Agreement. Therefore, in the event that a Change in Control occurs for any one of the following reasons, the provisions of Sections 2, 6 and 9 shall not apply:

  • Loss of Shared-Loss Coverage on Shared-Loss Loans The Receiver shall be relieved of its obligations with respect to a Shared-Loss Loan upon payment of a Foreclosure Loss amount, or a Short Sale Loss amount with respect to such Single Family Shared-Loss Loan, or upon the sale without FDIC consent of a Single Family Shared-Loss Loan by Assuming Institution to a person or entity that is not an Affiliate. The Assuming Institution shall provide the Receiver with timely notice of any such sale. Failure to administer any Shared-Loss Loan or Loans in accordance with Article III shall at the discretion of the Receiver constitute grounds for the loss of shared loss coverage with respect to such Shared-Loss Loan or Loans. Notwithstanding the foregoing, a sale of the Single Family Shared-Loss Loan, for purposes of this Section 2.7, shall not be deemed to have occurred as the result of (i) any change in the ownership or control of Assuming Institution or the transfer of any or all of the Single Family Shared-Loss Loan(s) to any Affiliate of Assuming Institution, (ii) a merger by Assuming Institution with or into any other entity, or (iii) a sale by Assuming Institution of all or substantially all of its assets.

  • UNION MEMBERSHIP AND DUES CHECK-OFF 7.01 All Employees covered by this Agreement shall become members of the Union as a condition of employment. Notwithstanding the foregoing, Employees currently employed by the Board, who have previously opted out of membership in the Union, shall not be compelled to join.
