Specification of Designees. In order to maintain representation on the Board of Directors in proportion to the rights of the respective Founding Stockholders to elect Directors as set forth under Section 2.1(c) (as such proportions may change from time to time as a result of transfer or conversion of Class A Common Stock or otherwise), the Corporation agrees to take all action necessary from time to time to call a meeting of stockholders or solicit written consents for the purpose of the election or removal of Directors. The Secretary of the Corporation shall deliver written notice of any such proposed corporate or stockholder action for the election or removal of Directors to the Founding Stockholders not later than fifteen (15) days prior to the date on which nominations or designees to the Board of Directors will be required to be received by the Corporation. Within ten (10) days of the receipt of any such notice from the Corporation, the Founding Stockholders shall notify the Corporation of the identity of their respective Board designees. The foregoing time periods may be shortened upon receipt of a written waiver from all Founding Stockholders, provided that the Corporation and the Founding Stockholders shall have been notified of the identity of all proposed Board designees.

Specification of Designees. In the event of an action for the purpose of electing directors, the Company shall provide written notice thereof to be delivered to the Voting Parties not later than thirty (30) days before the date on which the Board's nominations are to be made (the "NOMINATION DATE"). Within twenty-five (25) days of receipt of such notice from the Company, the Voting Parties shall notify the Company of the identity of their respective Designees. Such time periods may be shortened upon receipt of a written waiver from all Voting Parties, provided the Company has been notified of the identity of their respective Designees. Promptly upon receipt of notification of the Designees, the Company shall deliver written notice of such designees to each of the Voting Parties (whether by means of notice of meeting or otherwise).
Specification of Designees. Each of the parties entitled to designate one or more of the directors shall notify the Company and the other parties hereto of such designee within ten (10) days of receipt from the Company of notice of any proposed stockholder meeting or the taking of any other action for the purpose of electing directors. If a designee is not specified as provided herein, the existing designees of such party or parties shall be elected or appointed in accordance with this Agreement.

  • Unwinding of Designated Transactions On or prior to any repayment or prepayment of the Loan under this Clause 8 or any other provision of this Agreement, the Borrower shall wholly or partially reverse, offset, unwind or otherwise terminate one or more of the continuing Designated Transactions to the extent necessary to ensure that the notional principal amount of the continuing Designated Transactions thereafter remaining does not and will not in the future (taking into account the scheduled amortisation) exceed the amount of the Loan as reducing from time to time thereafter pursuant to Clause 8.1.

  • Filing of Certificate of Designation The Certificate of Designation shall have been filed with the Secretary of State of the State of Delaware.

  • Standard Provisions The Standard Provisions contained in Annex A attached hereto are incorporated herein by reference in their entirety and shall be deemed to be a part of this Certificate of Designations to the same extent as if such provisions had been set forth in full herein.
