Status of Project Manager. In the performance of its duties and obligations under this Agreement, Project Manager is, and shall at all times during the term of this Agreement be, an independent contractor, and not an employee of County. Project Manager shall act solely as the agent of County in the performance of its duties and obligations under this Agreement. All contracts and agreements executed or entered into by Project Manager in connection with the performance of its duties and obligations under this Agreement shall be contracts and agreements on behalf of, and for the account of, County. Project Manager shall obtain County’s prior approval of such contracts and agreements.

Project Manager shall act solely as the agent of Owner in the performance of its duties and obligations under this Agreement. All contracts and agreements executed or entered into by Project Manager in connection with the performance of its duties and obligations under this Agreement shall be contracts and agreements on behalf of, and for the account of, Owner.
Status of Project Manager. The Project Manager shall be the City’s representative. The Project Manager shall have authority to suspend the Work whenever such suspension may be necessary in the reasonable opinion of the Project Manager to ensure the proper execution of the Contract Documents. The Project Manager shall also have authority to reject all Work and materials that do not conform to the Contract Documents and to decide questions that arise in the execution of the Work. The Project Manager will, within a reasonable time, make decisions on all matters relating to the execution and progress of the Work.
