Nature of Engagement. The Lessee will facilitate, if required, engagement between the Lessee and the Lessor in relation to health and safety matters.
Nature of Engagement. The Company is engaging the Consultant as an independent contractor. Nothing in this Agreement shall be construed to create an employer-employee relationship between the parties. The services to be provided will not be in connection with the offer or sale of securities in a capital-raising transaction.
Nature of Engagement. BIG shall perform the Services as an independent contractor, and nothing contained in this Agreement shall be construed to create or imply a joint venture, partnership, principal-agent, or employment relationship between the Client and BIG. Unless the Client specifically authorizes BIG in writing to do so, BIG shall neither act or purport to be acting as the agent of the Client, nor enter into any agreement on behalf of the Client or otherwise bind, nor purport to bind the Client or cause the Client to incur liability in any manner whatsoever. All final decisions with respect to services provided by BIG hereunder shall be entirely the Client’s to make, and BIG shall have no liability relating to or arising from the Client’s decisions. It is understood that BIG’s responsibility to the Client is solely contractual in nature and that BIG does not act in a fiduciary capacity in relation to the Client as a result of this Agreement. With the prior written consent of BIG, not to be unreasonably withheld, nothing in this Agreement shall prohibit the Client, or any entity chosen by the Client, from performing some or all of the functions of BIG herein. It is recognized that BIG will expend significant time and commit considerable resources to the Client. The Services are not exclusive to the Client however, and BIG may render similar services to other parties both during and after the Term.
Nature of Engagement. The Consultant is being engaged by the Company as an independent contractor. Nothing in this Agreement shall be construed so as to create an employer-employee relationship between the parties.
Nature of Engagement. You shall serve as part of the executive management team of the Company and as the Company's Chief Executive Officer and in that connection you shall perform such functions and duties commensurate with the office of Chief Executive Officer which the Board of Directors may reasonably assign to you from time to time.
Nature of Engagement. 1.1 The Company is desirous of hiring the Contractor, and the Contractor is desirous of rendering his services to the Company, non-exclusively, with the aim of providing services to the Company as detailed in Annex A to this Agreement (hereinafter: “the Services”). The Contractor shall provide the Services as detailed in this Agreement, as well as any other service which he will be required to provide in the relevant field.
1.2 The Contractor represents that he has the knowledge, experience, skill, tools and means required for providing the Services to the Company, which shall be provided in accordance with the terms specified in this Agreement. It is hereby clarified that throughout the term of this Agreement, the Contractor shall provide the Company with the Services personally and not through anyone on his behalf.
1.3 Without derogating from the provisions of Section 5 below, it is hereby clarified that the Services to be provided to the Company shall not be exclusive whatsoever, both on the part of the Contractor and on the part of the Company. No exclusivity is or shall be given to the Contractor, including with respect to provision of the Services.
1.4 The Contractor confirms that he is aware that the terms of this Agreement constitute confidential information, as defined below, and undertakes that he shall not disclose the terms of this Agreement.
Nature of Engagement. Bluesword Ltd shall at all times be responsible for organising how and in what order the SEO Services are performed and shall liaise with the Client (or the Client’s representative) to ensure that due account is taken of the impact of the timing of the SEO Services to be performed upon the activities of the Client and any other contractors, consultants and similar third parties also engaged by the Client.
Nature of Engagement. The Consultant is being engaged by the Company as an independent contractor and shall be responsible for payment of its own taxes. Nothing in this Agreement shall be construed so as to create an employer-employee relationship between the parties.
Nature of Engagement. The Contractor is being hired on a lump sum fixed price basis, subject to adjustment only in accordance with this Agreement, to perform the Scope of Services according to specifications, including design services, installation and construction services, which are more fully described in this Agreement, including all Schedules and Exhibits hereto. The Agreement also provides for Guaranteed Energy and Operational Savings, more fully described in Schedule F.
Nature of Engagement. 2.1 The Company has engaged Dr Jhoti and Dr Jhoti continues to accept engagement as a full time executive of the Company who will perform such duties as may be assigned to Dr Jhoti from time to time by or with the authority of the Board (‘the Services’). At the Agreement Date Dr Jhoti’s title is Chief Scientific Officer.
2.2 Dr Jhoti shall at all times during the period of this Agreement:
2.2.1 Devote the whole of his time, attention and ability during his hours of work (as set out below) to the duties of his employment;
2.2.2 If and for so long as the Company requires hold any office and/or other appointment in or on behalf of the Group and carry out duties for the benefit of or on behalf of any Group Company without further remuneration;
2.3 Dr Jhoti shall: -
2.3.1 Perform the Services to the best of his ability in an expert and diligent manner and in such a way as at all time to promote the best interests of the Company and the Group;
2.3.2 Faithfully and diligently perform his duties and exercise only such powers as are consistent with them;
2.3.3 Comply with all lawful and reasonable directions of the Board;
2.3.4 Keep the Board promptly and fully informed (in writing if so requested) of his conduct in relation to the business or affairs of the Group and provide such explanations as they may require;
2.3.5 Not at any time make any untrue or misleading statement relating to the Group.
2.4 Dr Jhoti’s hours of work are the normal hours of business of the Company together with such additional hours as may be necessary for Dr Jhoti to perform his duties properly and Dr Jhoti agrees whenever necessary to work longer than 48 hours a week on average.
2.5 Dr Jhoti’s normal place of work is 000 Xxxxxxxxx Xxxxxxx Xxxx, Xxxxxx Xxxx, Xxxxxxxxx XX0 0XX and/or such other place of business of the Group as the Board may reasonable require from time to time. Dr Jhoti will, if and for as long as required by the Company, make visits in the ordinary course of Dr Jhoti’s duties to such places anywhere in the world as the Company may specify. At the date of this Agreement, the Company has no immediate requirement for Dr Jhoti to work outside the United Kingdom for a period of more than one month.
2.6 Dr Jhoti warrants that, by entering into this Agreement, he is not in breach of any express or implied term of any contractual or other obligation to any third party which is binding on him.
