StatutoryApprovals. No declaration, filing or registration with, or notice to or authori zation, consent or approval of, any court, Federal, state, local or foreign governmental or xxxxxx xxxx body (including a stock exchange or other self-regulatory body) or authority (each, a "Governmental Authority") is necessary for the execution and delivery of this Agreement or the WPL/IES and WPL/Interstate Stock Option Agreements by WPL or the consummation by WPL of the transactions contemplated hereby or thereby, except as described in Section 4.4(c) of the WPL Disclosure Schedule (the "WPL Required Statutory Approvals," it being understood that references in this Agreement to "obtaining"such WPL Required Statutory Approvals shall mean making such declarations, filings or registrations; giving such notices; obtaining such authoriza tions, consents or approvals; and having such waiting periods expire as are necessary to avoid a violation of law).

No declaration, filing or registration with, or notice to or authori zation, consent or approval of, any Governmental Authority is.necessary for.the execution and delivery of this Agreement or the Interstate/WPL and Interstate/IES Stock Option Agreements by Interstate or the consummation by Interstate of the transactions contemplated 'hereby or thereby, except as described in Section 6.4(c) of the Interstate Disclosure Schedule (the "Interstate Required Statutory Approvals", it being understood that references in this Agreement to "ob taining" such Interstate Required Statutory Approvals shall mian making such declarations, 'filirigs-or registrations; giving such notices; obtaining such authorizations, consents or approvals; and having such waiting periods 'expire as' are necessary to avoid a violation of law).
StatutoryApprovals. (i) The WPL Required Statutory Approvals, the IES Required Statutory Approvals and the Interstate Required Statutory Approvals shall have been obtained at or prior to the Effective Time, such approvals shall have become. Final Orders (as hereinafter defined) and such Final Orders shall not impose terms or conditions which, in the aggregate have, or insofar as reasonably can be foreseen, would have, a material adverse effect on the business, assets, financial condition or results of operations or prospects of the Company or which would be materially inconsistent with the agreements of the parties contained herein.
