Structure Fee. In consideration for the Arrangers' efforts in structuring the Credit Facilities and arranging for such Credit Facilities, Borrower agrees to execute on or before the Closing Date a letter or letters reasonably satisfactory to Administrative Agent and each Arranger concerning the Structure Fee and to pay to each Arranger the Structure Fee in accordance with such letter.

Structure Fee. In consideration for the Arranger's efforts in structuring the Credit Facilities and arranging for such Credit Facilities, Borrowers agree to execute on or before thirty (30) days following the Closing Date a letter reasonably satisfactory to Agent and Arranger concerning the Structure Fee and to pay to Arranger the Structure Fee in accordance with such letter.
Structure Fee. At each Closing, the Company shall pay the Purchaser a structure fee (the "Structure Fee") in an amount equal to 10% of the principal amount of Debentures purchased at such Closing. The Company hereby irrevocably authorizes the Purchaser to deduct the amount of the Structure Fee from the purchase price of the Debentures, together with any reasonable and documented out-of-pocket expenses for which such Purchaser is entitled to reimbursement pursuant to this Section 1.2(c), including the reasonable and documented fees and expenses of the Purchaser's counsel. If for any reason the Purchaser does not deduct the amount of the Structure Fee and such expenses from the purchase price of Debentures, then promptly upon the Purchaser's request, the Company shall pay and deliver the Structure Fee and such other expenses to the Purchaser or to such other persons as such Purchaser shall direct, by Federal funds bank wire transfer of same day funds.

Structure Fee. Seller shall pay to Buyer in immediately available funds a non-refundable fee due and owing upon closing and payable in arrears no later than 2 Business Days after the end of each calendar quarter, in the amount set forth in the fee schedule attached hereto as Annex II; provided, however, that such fee may be rebated, in whole or in part, in accordance with the rebate schedule set forth therein, in consideration for underwriting fees received by Credit Suisse First Boston Corporation for participating as a co-manager or lead manager in any securitization transaction sponsored by Seller. Such payment shall be made in Dollars, in immediately available funds, without deduction, set-off or counterclaim, to Buyer at such account designated by Buyer. In connection with any extension of the Termination Date pursuant to Section 21(b), the Seller shall pay to the Buyer a supplemental structure fee to be agreed upon by the Buyer and the Seller at the time of such extension. In connection with any failure to enter into Transactions solely as a result of any of the events listed in Section 10(b)(9), Buyer shall rebate to Seller a pro-rata share of any fees paid by Seller in accordance with this Section based upon the number of days from the date on which Buyer has ceased entering into Transactions hereunder up to but not including the earlier to occur of the Buyer recommencing such Transactions and the Termination Date.
Structure Fee. The Existing Master Repurchase Agreement is hereby amended by adding the following Section 36: The Seller shall pay to Buyer in immediately available funds a non-refundable fee due and owing upon closing and payable in arrears no later than the Price Differential Payment Date following the end of each calendar quarter, in the amount set forth in the fee schedule attached hereto as Annex II. Such payment shall be made in Dollars, in immediately available funds, without deduction, set-off or counterclaim, to Buyer at such account designated by Buyer.

  • Structuring Fee In consideration for the time, effort and expense involved in the preparation, negotiation and execution of this Agreement, at the time of the execution and delivery of this Agreement by the Company and Prudential, the Company will pay to Prudential in immediately available funds a fee (the “Structuring Fee”) in the amount of $25,000.

  • Base Management Fee The Base Management Fee will be calculated at an annual rate of 2.0% of the Company’s gross assets, exclusive of cash and cash equivalents. The base management fee will be payable quarterly in arrears and will be calculated based on the average value of the Company’s gross assets at the end of the two most recently completed calendar quarters (and, in the case of our first quarter, our gross assets as of such quarter-end). The base management fee may or may not be taken in whole or in part at the discretion of the Adviser. All or any part of the base management fee not taken as to any quarter will be deferred without interest and may be taken in such other quarter as the Adviser will determine. The base management fee for any partial month or quarter will be appropriately prorated.

  • Property Management Fee For its services in managing the day-to-day operations of the Property in accordance with the terms of this Agreement, Company shall pay to Property Manager an annual property management fee (the “Property Management Fee”) equal to 4.0% of the Gross Revenue (as hereinafter defined). The Property Management Fee shall be prorated for any partial year and shall be payable in equal monthly installments, in advance. The Property Management Fee shall be payable on the first day of each month from the Operating Account or from other funds timely provided by the Company. Upon the expiration or earlier termination of this Agreement, the parties will prorate the Property Management Fee on a daily basis to the effective date of such expiration or termination. For purposes of this Agreement, the term “Gross Revenue” shall mean all gross collections from the operations of the Property, including, without limitation, rental receipts, late fees, application fees, pet fees, damages, lease buy-out payments, reimbursements by Tenants for common area expenses, operating expenses and taxes and similar pass-through obligations paid by Tenants, but shall expressly exclude (i) security deposits received from Tenants and interest accrued thereon for the benefit of the Tenants until such deposits or interest are included in the taxable income of the Company; (ii) advance rents (but not lease buy-out payments) until the month in which payments are to apply as rental income; (iii) reimbursements by Tenants for work done for a particular Tenant; (iv) proceeds from the sale or other disposition of all or any portion of the Property; (v) insurance proceeds received by the Company as a result of any insured loss (except proceeds from rent insurance or the excess of insurance proceeds for repairs over the actual costs of such repairs); (vi) condemnation proceeds not attributable to rent; (vii) capital contributions made by the Company; (viii) proceeds from capital, financing and any other transactions not in the ordinary course of the operation of the Property; (ix) income derived from interest on investments or otherwise; (x) abatement of taxes, awards arising out of takings by eminent domain and discounts and dividends on insurance policies; and (xi) rental concessions not paid by third parties.

  • Asset Management Fee The fee payable to the Advisor for day-to-day professional management services in connection with the Company and its investments in Assets pursuant to Section 3.01(a) of this Agreement.

  • Financing Fee In the event of any debt financing obtained by or for the Company, the Company will pay to the Advisor or its assignees upon the closing of such debt financing a fee (a “Financing Fee”) equal to (i) 0.75% of the amount available under such debt financing, whether at the Company, Partnership, or any direct or indirect subsidiary level, and (ii) 0.75% of the portion that is attributable to the Company’s or the Partnership’s direct or indirect investment in a Joint Venture or partnership in which the Company or the Partnership is, directly or indirectly, a co-venturer or partner. The Advisor (or Sub-advisor) may reallow all or a portion of any Financing Fee to reimburse a non-Affiliated third party with whom it may subcontract to procure any such debt financing. All or any portion of the Financing Fees not taken as to any fiscal year shall be deferred without interest and may be paid in such other fiscal year as the Advisor shall determine.

  • Services Fee In consideration for the services to be provided to the Stations by Nexstar personnel as described in Sections 4(a) through 4(f), Mission will pay Nexstar the fee (“Services Fee”) described in Section 4(g).

You shall be entitled to receive during any month such interim payments of your fee hereunder as you shall request, provided that no such payment shall exceed 75 percent of the amount of your fee then accrued on the books of the Fund and unpaid.

  • Construction Management Fee In connection with the Construction Projects, on a project by project basis, Property Manager shall be paid a fee equal to five percent (5%) of the hard costs for the project in question (the “Construction Management Fee”). The Construction Management Fee shall be payable from the Operating Account or from other funds timely provided by Company.

  • Maintenance Fee The Maintenance Fee (SEE SCHEDULE - ACCUMULATION PERIOD) will be deducted during the Accumulation Period from the Account Value on each anniversary of the Account Effective Date and upon withdrawal of the entire Account.
