Sub-Contractors and Agents. Business Associate will require any of its subcontractors and agents to provide reasonable assurance, evidenced by written contract, that subcontractor or agent will comply with the same privacy and security obligations as Business Associate with respect to such PHI, including the obligations described in Section 4 herein.
Sub-Contractors and Agents. Vendor will require any of its subcontractors and agents, to which Vendor discloses any of PHI, to agree in writing to comply with the same privacy and security obligations as Vendor with respect to such PHI. Notwithstanding the foregoing, unless SPHERIS gives its prior, express written consent, Vendor shall not subcontract or assign any portion of its rights or obligations under the Agreement, and Vendor shall only furnish services under the Agreement through its employees. In the event SPHERIS consents to any subcontracting of Vendor’s obligations under the Agreement, Vendor shall only subcontract in compliance with Section 3 and shall otherwise comply with all of the terms of this Addendum.
Sub-Contractors and Agents. Business Associate will require its subcontractors and agents, to which Business Associate is permitted by this Addendum or in writing by Group Health Plan to disclose any of the PHI Business Associate creates for or receives from Group Health Plan, to provide reasonable assurance, evidenced by a written contract, that subcontractor or agent will comply with the same privacy, security, and other obligations as Business Associate with respect to such PHI.
Sub-Contractors and Agents. Not later than the date required by law, BCBSNE will require all of its subcontractors or agents to which BCBSNE is permitted by this Agreement (or is otherwise permitted with THE PLAN's prior written approval) to disclose Protected Health Information created or received in connection with this Agreement to provide reasonable assurances in writing that the subcontractor or agent will comply with the same restrictions and conditions that apply to BCBSNE (using contract language essentially similar to the language used by BCBSNE in connection with its own Business Associates) under this Agreement with respect to such Protected Health Information and to implement reasonable and appropriate safeguards to protect Electronic Protected Health Information.
Sub-Contractors and Agents. The Owner hereby consents to and agrees that, in performing its duties hereunder, the Manager may further contract with its Affiliates to provide any or all services to be provided by the Manager, provided that: (i) the Manager shall remain primarily liable for all services that its Affiliates have contracted to perform and (ii) any such contract or other arrangements between the Manager and its Affiliate shall terminate with respect to the Owner Containers upon the termination of the Manager hereunder. The Owner further consents to and agrees that the Manager shall be entitled to appoint subcontractors or agents who are not its Affiliates to carry out any portion of its duties hereunder; provided however that the Manager shall remain primarily liable for all such services.

Sub-Contractors and Agents. Borrower hereby consents to and agrees that, in performing its duties hereunder, Manager may further contract with its Affiliates or Subsidiaries to provide any or all services to be provided by Manager, provided that Manager shall remain primarily liable for all services which its Affiliates have contracted to perform. Borrower further consents to and agrees that Manager shall be entitled to appoint subcontractors or agents who are not its Affiliates or Subsidiaries to carry out any portion of its duties hereunder; provided, however, that (i) Manager shall remain primarily liable for all such services and (ii) the Agent shall have given its prior written consent to each such appointment.
Sub-Contractors and Agents. In accordance with 45 CFR 164.502(e)(1)(ii) and 164.308(b)(2), if applicable, ensure that any subcontractors that create, receive, maintain, or transmit protected health information on behalf of the Business Associate agree to the same restrictions, conditions, and requirements that apply to the Business Associate with respect to such information. Business Associate agrees that anytime PHI is provided or made available to any sub-contractors or agents, Business Associate must obtain satisfactory written assurances from the sub-contractor or agent that contains the same terms, conditions and restrictions on the use and disclosure of PHI as contained in this BAA.
