Submission and Contents of Competitive Bids. (i) Each Lender may submit a competitive bid (a "COMPETITIVE BID") containing an offer or offers to make Competitive Bid Loans in response to any invitation for Competitive Bids. Each Competitive Bid must comply with the requirements of this SUBSECTION 2.03(d) and must be submitted to the Administrative Agent by telex or facsimile at the Administrative Agent's office not later than (x) 10:00 A.M. on the third Business Day before the proposed date of Borrowing, in the case of a LIBOR Auction or (y) 10:00 A.M. on the proposed date of Borrowing, in the case of an Absolute Rate Auction, or, in any such case, such other time or date as the Borrower and the Administrative Agent shall have mutually agreed and shall have notified to the Lenders not later than the date of the Competitive Bid Request for the first LIBOR Auction or Absolute Rate Auction for which such change is to be effective; PROVIDED, that Competitive Bids submitted by the Administrative Agent (or any affiliate of the Administrative Agent) in the capacity of a Lender may be submitted, and may only be submitted, if the Administrative Agent or such affiliate notifies the Borrower of the terms of the offer or offers contained therein not later than 30 minutes before the deadline for the other Lenders. Subject to ARTICLES III and IV, any Competitive Bid so made shall not be revocable except with the written consent of the Administrative Agent given on the instructions of the Borrower.

(New York City time) on the third Business Day prior to the proposed Borrowing Date, in the case of a Borrowing of Eurodollar Competitive Loans or (y) 9:30 A.M. (New York City time) on the date of the proposed Borrowing, in the case of a Fixed Rate Borrowing; provided that any Competitive Bids submitted by the Administrative Agent in the capacity of a Lender may only be submitted if the Administrative Agent notifies the Borrower of the terms of the offer or offers contained therein not later than fifteen minutes prior to the deadline for the other Lenders. A Competitive Bid submitted by a Lender pursuant to this paragraph (d) shall be irrevocable.

(Dallas, Texas time) on the date of the proposed Borrowing, in the case of a Fixed Rate Borrowing; provided that any Competitive Bids submitted by the Administrative Agent in the capacity of a Lender may only be submitted if the Administrative Agent notifies Gannett of the terms of the offer or offers contained therein not later than fifteen minutes prior to the deadline for the other Lenders. A Competitive Bid submitted by a Lender pursuant to this paragraph (d) shall be irrevocable.
Submission and Contents of Competitive Bids. (i) Each Bank may submit a Competitive Bid Quote containing an offer or offers to make Competitive Bid Advances in response to any invitation for bids. Each Competitive Bid Quote must comply with the requirements of this subsection (d) and, except in the case of Competitive Bid Quotes by Fleet National Bank, must be submitted to the Agent by telex or telecopier not later than 9:15 A.M. (Boston time) on the requested Borrowing Date. Competitive Bid Quotes submitted by Fleet National Bank must be submitted directly to the Trust by telex or telecopier not later than 9:00 A.M. (Boston time) on the requested Borrowing Date. Any Competitive Bid Quote so made shall be irrevocable except with the written consent of the Agent given on the instructions of the Trust. (ii) Each Competitive Bid Quote shall be in substantially the form of Exhibit E hereto and shall in any case specify: (A) the proposed Borrowing Date, (B) the principal amount of the Advance for which each offer is made, which principal amount (x) may be greater than the Commitment of the quoting Bank but may not exceed the Maximum Commitment, (y) must be $2,500,000 or a larger multiple of $1,000 and (z) may not exceed the principal amount of Competitive Bid Advances for which offers were requested, (C) the rate of interest per annum (rounded to the nearest 1/10,000th of 1%) (the "Competitive Bid Rate") offered for each such Competitive Bid Advance, (D) the proposed maturity date of the proposed Advance (which date must be no less than 7 days and no longer than 180 days from the Borrowing Date specified in subsection (A) above), and (E) the identity of the quoting Bank. (iii) Any Competitive Bid Quote for a Competitive Bid Advance shall be disregarded if it: (A) is not substantially in the form of Exhibit E hereto or does not specify all of the information required by subsection (d)(ii); (B) contains qualifying, conditional or similar language; (C) proposes terms other than or in addition to those set forth in the applicable invitation for Competitive Bids; or (D) arrives after the time set forth in subsection (d)(i). Each Competitive Bid Quote must comply with the requirements of this Section 2.8(d) and must be submitted to the Administrative Agent by telecopy or telex not later than 9:30 a.m. (Boston time) on the requested effective date of the Competitive Bid Loan, as set forth in the Invitation for Competitive Bids, provided that Competitive Bid Quotes submitted by the Administrative Agent (or any Affiliate of the Administrative Agent) in its capacity as a Lender may be submitted, and may only be submitted, if the Administrative Agent or such Affiliate notifies the Borrower of the offer or offers contained therein not later than 9:15 a.m. (Boston time) on the requested effective date of the Competitive Bid Loan. Any Competitive Bid Quote so made shall be irrevocable except with the written consent of the Administrative Agent given on the instructions of the Borrower.

(Eastern time) on such Competitive Bid Auction Date, shall confirm Agent's receipt of such Competitive Bid by telephone, and, provided further that Competitive Bids submitted by Agent (or any affiliate of Agent) in the capacity of a Lender may be submitted, and may only be submitted, if Agent or such affiliate notifies Borrower of the terms of the offer or offers contained therein not later than fifteen (15) minutes prior to the respective deadline for the other Lenders. Any Competitive Bid so made by any Lender under this Section 2.2(c) shall be irrevocable, except that such Competitive Bid may be revoked with the written consent of Agent.
