Common use of Subscription Term and Renewals Clause in Contracts

Subscription Term and Renewals. The Subscription Term shall be as specified in the applicable Purchase Order. Except as otherwise specified in a Purchase Order, subscriptions will automatically renew for twelve (12) months , unless either party gives the other written notice of non-renewal at least six (6) months before the end of the relevant Subscription Term. In any case, the contract shall not be terminated before 12 months have elapsed since the last Purchase Order was signed. Pricing during any renewal term is subject to increase at our discretion in an amount of up to five percent (5%) above the applicable pricing in the prior term, unless we provide you notice of different pricing at least sixty (60) days prior to the applicable renewal term. With respect to month-to-month terms, such increase will go into effect only on an annual basis. Except as expressly provided in the applicable Purchase Order, renewal of promotional or one-time priced subscriptions will be at our applicable list price in effect at the time of the applicable renewal. You hereby authorize us to charge your credit card or bank account, as applicable, the contract amount reflecting any such increase during each such renewal term.
