Term of Agreement and Renewals. The Agreement with TIPS is for approximately five (5) years with an option for renewal for an additional one (1) consecutive year. If TIPS offers the renewal extension year, the Vendor will be notified by email to the primary contact of the awarded Vendor and shall be deemed accepted by the Vendor unless the awarded Vendor notifies TIPS of its objection to the additional term. TIPS may or may not exercise the available extension(s) provided in the original solicitation beyond the base five-year term. Whether or not to offer the extension is at the sole discretion of TIPS.

Example: In this example, if the set termination date of the contract is November 30, 2023, if TIPS offers a one- year extension, the expiration of the extended term shall be November 30 2024 unless otherwise specified. TIPS may offer to extend Vendor Agreements to the fullest extent the original Solicitation permits.

Unless Contractor provides the 146 City with at a least 90-day prior written notice of its intention not to renew, the City, in 147 the discretion of the City Manager, shall have the option to renew the Contract for one (1) 148 additional one (1) year term with an amendment extending the term if for the additional 149 fiscal year the City Council approves the appropriate funds for the BID Services covered 150 under this Contract. The effective date for each renewal shall be July 1, unless stated 151 differently in the renewal amendment. If the City elects not to renew for the 1 additional 152 one-year term, such non-renewal procedure shall follow the Termination for Convenience 153 procedure described in Section 11.1 below, including the requirement that the City will 154 give Contractor 90-days notice of its intention not to renew. 155
