Common use of SUBSEQUENT ASSIGNMENTS Clause in Contracts

SUBSEQUENT ASSIGNMENTS. After the Assignment Effective Date, Assignee shall have the right pursuant to Section 10.10 of the Credit Agreement to assign the rights which are assigned to Assignee hereunder, provided that (a) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related Writings, or any law, rule, regulation, order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Agreement or any of the Related Writings has been obtained, (b) the assignee under such assignment from Assignee shall agree to assume all of Assignee's obligations hereunder in a manner satisfactory to Assignor and (c) Assignee is not thereby released from any of its obligations to Assignor hereunder.

SUBSEQUENT ASSIGNMENTS. After the Assignment Effective Date, Assignee shall have the right right, pursuant to Section 10.10 11.10 of the Credit Agreement Agreement, to assign the rights which are assigned to Assignee hereunder, provided that (a) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related Writings, or any law, rule, regulation, order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Agreement or any of the Related Writings has been obtained, (b) the assignee under such assignment from Assignee shall agree to assume all of Assignee's ’s obligations hereunder in a manner satisfactory to Assignor Assignor, and (c) Assignee is not thereby released from any of its obligations to Assignor hereunder.

After the Assignment Effective Date, the Assignee shall have the right pursuant to Section 10.10 12.3.1 of the Amended and Restated Credit Agreement to assign the rights which are assigned to the Assignee hereunderhereunder to any entity or person, provided that (ai) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related Writings, Loan Documents or any law, rule, regulation, order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Agreement or any of the Related Writings Loan Documents has been obtained, (bii) the assignee under such assignment from the Assignee shall agree to assume all of the Assignee's obligations hereunder in a manner satisfactory to the Assignor and (ciii) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

After the Assignment Effective Date, the Assignee shall have the right pursuant to Section 10.10 9.1 of the Credit Agreement to assign the rights which are assigned to the Assignee hereunderhereunder to any entity or person, provided that (ai) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related WritingsLoan Documents, or any law, rule, regulation, order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Agreement or any of the Related Writings Loan Documents has been obtained, (bii) the assignee under such assignment from the Assignee shall agree to assume all of the Assignee's obligations hereunder in a manner satisfactory to the Assignor and (ciii) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

After the Assignment Effective Date, Assignee shall have the right right, pursuant to Section 10.10 10.04(b) of the Credit Agreement Agreement, to assign the rights which are assigned to Assignee hereunder, provided that (a) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related WritingsLoan Documents, or any law, rule, regulation, order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Agreement or any of the Related Writings Loan Documents has been obtained, (b) the assignee under such assignment from Assignee shall agree to assume all of Assignee's ’s obligations hereunder in a manner satisfactory to Assignor Assignor, and (c) Assignee is not thereby released from any of its obligations to Assignor hereunder.

SUBSEQUENT ASSIGNMENTS. After the Assignment Effective Date, the Assignee shall have the right pursuant to Section 10.10 14.1 of the Credit Agreement to assign the rights which are assigned to the Assignee hereunderhereunder to any entity or person, provided that (ai) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related WritingsLoan Documents, or any law, rule, regulation, order, writ, judgment, injunction or decree Law and that any consent required under the terms of the Credit Agreement or any of the Related Writings Loan Documents has been obtained, (bii) the assignee under such assignment from the Assignee shall agree to assume all (or the assigned portion, as the case may be) of the Assignee's obligations hereunder in a manner satisfactory to Assignor the Assignee, and (ciii) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

After the Assignment Effective Date, the Assignee shall have the right pursuant to Section 10.10 13.1 of the Credit Agreement to assign the rights which are assigned to the Assignee hereunderhereunder to any entity or person, provided that (ai) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related Writings, or any law, rule, regulation, order, writ, judgment, injunction or decree Law and that any consent required under the terms of the Credit Agreement or any of the Related Writings has been obtained, (bii) the assignee under such assignment from the Assignee shall agree to assume all (or the assigned portion, as the case may be) of the Assignee's obligations hereunder in a manner satisfactory to Assignor the Assignee, and (ciii) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

After the Assignment Effective Date, the Assignee shall have the right pursuant to Section 10.10 9.7 of the Credit Agreement to assign the rights which are assigned to the Assignee hereunderhereunder to any entity or person, provided that (ai) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related Writings, Documents or any law, rule, regulation, order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Agreement or any of the Related Writings Documents has been obtained, (bii) the assignee under such assignment from the Assignee shall agree to assume all of the Assignee's obligations hereunder in a manner satisfactory to the Assignor and (ciii) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

SUBSEQUENT ASSIGNMENTS. After the Assignment Effective Date, Assignee shall have the right pursuant to Section 10.10 of the Credit Agreement to assign the rights which are assigned to Assignee hereunder, provided that (a) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, the Lender Agreement or any of the Related Writings, or any law, rule, regulation, order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Agreement, the Lender Agreement or any of the Related Writings has been obtained, (b) the assignee under such assignment from Assignee shall agree to assume all of Assignee's ’s obligations hereunder in a manner satisfactory to Assignor and (c) Assignee is not thereby released from any of its obligations to Assignor hereunder.

SUBSEQUENT ASSIGNMENTS. After the Assignment Effective Date, the Assignee shall have the right pursuant to Section 10.10 8.17 of the Credit Loan Agreement to assign the rights which are assigned to the Assignee hereunderhereunder to any entity or person, provided that (a) any such subsequent assignment does not violate any of the terms and conditions of the Credit Loan Agreement, any of the Related WritingsLoan Documents, or any law, rule, regulation, order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Loan Agreement or any of the Related Writings Loan Documents has been obtained, (b) the assignee under such assignment from the Assignee shall agree to assume all of the Assignee's ’s obligations hereunder in a manner satisfactory to the Assignor and (c) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

SUBSEQUENT ASSIGNMENTS. After the Assignment Effective Date, the Assignee shall have the right pursuant to Section 10.10 14.1 of the Credit Agreement to assign the rights which are assigned to the Assignee hereunderhereunder to any entity or person, provided that (ai) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related WritingsLoan Documents, or any law, rule, regulation, order, writ, judgment, injunction or decree Law and that any consent required under the terms of the Credit Agreement or any of the Related Writings Loan Documents has been obtained, (bii) the assignee under such assignment from the Assignee shall agree to assume all (or the assigned portion, as the case may be) of the Assignee's ’s obligations hereunder in a manner satisfactory to Assignor the Assignee, and (ciii) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

SUBSEQUENT ASSIGNMENTS. After the Assignment Effective Date, the Assignee shall have the right pursuant to Section 10.10 10.11 of the Credit Agreement to assign the rights which are assigned to the Assignee hereunderhereunder to any entity or person, provided that (a) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related Writings, or any law, rule, regulation, order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Agreement or any of the Related Writings has been obtained, (b) the assignee under such assignment from the Assignee shall agree to assume all of the Assignee's obligations hereunder in a manner satisfactory to the Assignor and (c) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

SUBSEQUENT ASSIGNMENTS. After the Assignment Effective Date, the Assignee shall have the right pursuant to Section 10.10 12.3.1 of the Second Amended and Restated Credit Agreement to assign the rights which are assigned to the Assignee hereunderhereunder to any entity or person, provided that (ai) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related Writings, Loan Documents or any law, rule, regulation, order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Agreement or any of the Related Writings Loan Documents has been obtained, (bii) the assignee under such assignment from the Assignee shall agree to assume all of the Assignee's obligations hereunder in a manner satisfactory to the Assignor and (cii) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

After the Assignment Effective Date, the Assignee shall have the right pursuant to Section 10.10 12.03(b) of the Credit Agreement to assign the rights which are assigned to the Assignee hereunderhereunder to any entity or person, provided that (ai) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related Writings, Loan Documents or any law, rule, regulation, regulations order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Agreement or any of the Related Writings Loan Documents has been obtained, (bii) the assignee under such assignment from the Assignee shall agree to assume all of the Assignee's obligations hereunder in a manner satisfactory to the Assignor and (ciii) the Assignee is not thereby released from any of its obligations to the Assignor hereunder.

SUBSEQUENT ASSIGNMENTS. After the Assignment Effective Date, Assignee shall have the right pursuant to Section 10.10 of the Credit Agreement to further assign the rights which are assigned to Assignee hereunderAssigned Interest, provided that (a) any such subsequent assignment does not violate any of the terms and conditions of the Credit Agreement, any of the Related Writings, or any law, rule, regulation, order, writ, judgment, injunction or decree and that any consent required under the terms of the Credit Agreement or any of the Related Writings has been obtained, (b) the assignee under such assignment from Assignee shall agree to assume all of Assignee's obligations hereunder in a manner satisfactory to Assignor and (c) Assignee is not thereby released from any of its obligations to Assignor hereunder.
