Successor Account Bank. Upon the Account Bank’s receipt of an Account Bank Termination Notice from the Administrative Agent and the designation of a successor Account Bank pursuant to the provisions of Section 14.05, the Account Bank agrees that it will terminate its activities as Account Bank hereunder.
Successor Account Bank. (a) Any successor Account Bank appointed as provided in Section 15.7 shall execute, acknowledge and deliver to the Borrower and its predecessor Account Bank an instrument accepting such appointment hereunder, and thereupon the resignation or removal of the predecessor Account Bank shall become effective and such successor Account Bank, without any further act, deed or conveyance, shall become fully vested with all of the rights, powers, duties and obligations of its predecessor hereunder, with the like effect as if originally named as Account Bank herein. The predecessor Account Bank shall deliver to the successor Account Bank all documents relating to the Notes held by it hereunder, and the Borrower and the predecessor Account Bank shall execute and deliver such instruments and do such other things as may reasonably be required to more fully and certainly vest and confirm in the successor Account Bank all such rights, powers, duties and obligations, and to enable the successor Account Bank to perform its obligations hereunder.
Successor Account Bank. The Issuer may (with the prior written approval of the Note Trustee) appoint a successor Account Bank and shall forthwith give notice of any such appointment to the Note Trustee, whereupon the Issuer and the Note Trustee and the successor Account Bank shall acquire and become subject to the same rights and obligations between themselves as if they had entered into an agreement in the form of (and on the same terms as) this Agreement. Any successor Account Bank appointed by the Issuer shall be a Qualified Institution.
Successor Account Bank. If a successor to the Account Bank is nominated under the provisions of Clause 29.8 (Cessation by the Account Bank) or Clause 29.9 (Substitution of the Account Bank):
Successor Account Bank. If a successor Account Bank is nominated under the provisions of Clause 6.9 (Resignation of Account Bank), then on the AC cessation date and provided such successor has executed and delivered to the Investment Agent an assignment or a novation agreement in such form as the Investment Agent may require (and to which, if required by the Investment Agent, the Obligors shall become parties) undertaking to become a Party to and bound by the terms and conditions of this Agreement:
