Superceding Agreement. Concurrent with the execution of this Agreement, and effective as of the Effective Date herein, any existing agreement between The Parties which grants rights to PCR technology to ED to perform human diagnostic testing services, is hereby superceded and replaced in its entirety by this Agreement.
Superceding Agreement. This Agreement takes place in the context of an acquisition/merger by and among NewMil Bancorp, Inc., parent company to the Bank ("Holding Company"), the Bank and Nutmeg Federal Savings & Loan Association pursuant to which Nutmeg shall merge into the Bank with the Bank as surviving entity. Starbuck has a Change of Control Agreement with Nutmeg. This Agreement will supercede and replace in its entirety the Nutmeg Change of Control Agreement, and Starbuck shall not be entitled to any payment thereunder.
Superceding Agreement. All previous Agreements or arrangements, if any, made between Mobi and the Merchant, whether written or oral, are hereby canceled and superseded by this Agreement.

The rights and obligations of the parties are to be exclusively defined by the terms, conditions, rights, and obligations as expressed herein. In the event any term of the Original Agreement is not specifically superceded, modified or replaced by a corresponding term of the Restated Agreement, it shall be construed as a deliberate omission by the Parties.
Superceding Agreement. 10.1 This Agreement is intended to completely supercede and replace all previous Award Agreements between the Provider and the Center, which is null and void upon execution of this Agreement.
