The Merchant acknowledges and agrees that the Carrier may transfer the Personal Data to a country outside of the European Economic Area (“EEA”) in accordance with the Model Clauses, Ad hoc Clauses or other available data transfer solutions under the Regulation and/or Applicable Data Protection Law. The Merchant hereby consents to such transfers and agrees to be bound by the Model Clauses or Ad Hoc Clauses (as the case may be). The Merchant represents and warrants to the Carrier that disclosure of any transfer contemplated will be made in the Merchant’s documentation.
The Merchant represents and warrants to and for the benefit of the Bank that all information, details and other matters provided by or on behalf of the Merchant to the Bank are true, accurate and complete as at the time of such provision, and the Merchant shall ensure that such information, details and other matters remain true, accurate and complete throughout the Term. If there are, or the Merchant becomes or ought to be aware of, any change to such information, details or matters, the Merchant shall forthwith notify the Bank in writing of such change. The Bank shall thereafter be entitled to take such steps as the Bank considers appropriate having regard to such change, and the Merchant shall do such things as may be necessary to facilitate and give effect to the Bank’s intentions.
The Merchant agrees and acknowledges that the title in the Products shall only be transferred from the Merchant to the End Customer upon delivery of the Products to the End Customer. For the avoidance of doubt, the title and risk on the Products for any delivery of the Products to the Service Provider for providing any Transaction Support Services before the purchase of Products by the End Customer on the Platform shall always remain with the Merchant. The Merchant may in its sole discretion take appropriate insurances to safeguard itself from any loss, breakage, theft or damage of the Products till such time the Products are actually delivered to the Service Provider and the Service Provider has acknowledged the receipt of the delivery of such Products. The Merchant shall be the lawful owner or the lawful right holder in the Products offered and/or sold on the Platform to the End Customer and the Products at time of listing of the same on the Platform and for all times thereafter shall be free from any encumbrance, charge, lien or any security or third party interests. The Merchant hereby irrevocably and unconditionally waives all its liens whether contractual, statutory, equitable or otherwise including those related to unpaid seller on the Products once the Products have been delivered by the Merchant to either the Service Provider or to the End Customer or to any carrier or bailee.
The Merchant hereby represents and warrants that it has the full authority to give consent and authorisation on behalf of each of its customers, officers, partners and shareholders for the purposes of Condition 13.1. Where instructed by the Bank, the Merchant shall provide the Bank with evidence in a form the Bank deems appropriate and/or procure any additional consents and authorisations, which demonstrate that all consents and authorisations required under Condition 13.1 have been or will be obtained.
The Merchant shall establish and maintain a fair policy of refunds to its customers and shall accept the return of, and refund to, any customer the price paid by the customer for any products or services purchased or procured which are unsatisfactory to the customer;
The Merchant undertakes to ensure the confidential nature of all information received when using the Secure Payment Gateway and, in particular, all information of a technical nature that may have been provided to it by the Federation, including the websites provided to it during training, and not to disclose to any third party its merchant number, or the names and account numbers appearing on an Authorized Credit Card or on any report or form showing these names or numbers.
