Suppliers and Employees. Except as set forth in Section 4.23 of the Company Letter, neither the Company nor any Subsidiary has received any notice or has any reason to believe that (a) any significant supplier will not sell raw materials, supplies, merchandise and other goods to the Company or any Subsidiary at any time after the Effective Time on terms and conditions substantially similar to those used in its current sales to the Company and the Subsidiaries, subject only to general and customary price increases, unless comparable raw materials, supplies, merchandise or other goods are readily available from other sources on comparable terms and conditions, or (b) any employee or group of employees significant to Company, any of its Subsidiaries or any of their operations intends to terminate or has terminated his or their employment with the Company or any Subsidiary.

Except as set forth on Schedule 4.1.20, to the knowledge of Seller, no employee of the Business (other than those set forth on Schedule 5.7) intends to terminate his or her employment relationship with the Business as a result of the transactions contemplated hereby. Except as set forth in Schedule 4.1.20, Seller has not terminated any employee of the Business in the thirty-day period prior to the date of this Agreement.
