Employee of the Business definition

Employee of the Business means each employee of Fox and its Subsidiaries (a) who, as of the Closing, is employed primarily in connection with the Business, or (b) whose employment will transfer to Buyer or one of its Affiliates on the Closing Date by operation of applicable Law or pursuant to the transfer of the Transferred Equity Interests to Buyer, including in all cases, each such employee who as of the Closing Date is on leave of absence (including medical leave, military leave, workers compensation leave, short-term disability and, solely with respect to clause (b), long-term disability) or vacation.
Employee of the Business means each employee of Seller and the Selling Affiliates (a) who as of the Applicable Closing Date spends at least 50% of his or her work time in the operation of the Business, (b) whose employment will transfer to Buyer or one of its Affiliates on the Applicable Closing Date by operation of applicable Law or (c) who is set forth on Schedule 1.01(e), including in all cases, each such employee who as of the Applicable Closing Date is on leave of absence (including medical leave, military leave, workers compensation leave and short-term or long-term disability) or vacation; provided, that any individual set forth on Schedule 1.01(f) shall not be an “Employee of the Business”.
Employee of the Business means each employee of Seller or its Affiliates who is set forth on Schedule 1.01(b) to the Disclosure Letter (as such schedule may be updated in accordance with this Agreement), including each such employee who, as of the Closing Date (or, with respect to Deferred Employees, the applicable Deferred Closing Date) is on leave of absence (including medical leave, military leave, workers compensation leave and short-term or long-term disability or vacation).”

Examples of Employee of the Business in a sentence

  • Seller covenants and agrees that for a period of five (5) years after the Closing Date, Seller will not solicit for employment by Seller or any Affiliates any Person who is an Employee of the Business as of the Closing Date.

  • Upon the next payroll disbursement to Employees thereafter, the Purchaser shall pay to each eligible Employee who is still an Employee of the Business at such time such Employee’s relevant portion of the Bonus Payments, as notified by the Seller, less any withholdings and deductions therefrom required by applicable Law.

  • As of the date of this Agreement, no other union or labor organization is currently certified or recognized and, there are no ongoing, pending (for which Seller has received notice) or, to the knowledge of Seller, threatened strikes, material work stoppages, material requests for representation, material pickets or material walkouts that involve the labor or employment relations of Seller and its Affiliates with any Employee of the Business.

  • Bodily Injury to Working PartnersAny working partner named as an Insured Person in the Schedule shall be regarded as an Employee but only in respect of Bodily Injury for which a partner or Employee of the Business is legally liable.

  • Buyer shall not encourage any Employee of the Business regarding a request described in the immediately preceding sentence, and in the event an Employee of the Business asks Buyer a question regarding such request, Buyer shall refer such Employee of the Business to an applicable representative of Seller with respect to such request.

Employee of the Business has the meaning set forth in Section 4.17.
Employee of the Business means an employee of the Acquired Company or any member of the Seller Group or one of their respective Subsidiaries that is employed in the Business and is included in the list provided pursuant to Section 3.14(a), including any employee deemed to be an “Employee of the Business” pursuant to Section 5.11(b) or the last sentence of Section 10.10(a)).

Employee of the Business means each employee of Seller and the Selling Affiliates (i) who on the Applicable Closing Date spends at least 50% of his or her work time in the operation of the Business, (ii) whose employment will transfer to Buyer or one of its Affiliates on the Applicable Closing Date by operation of applicable Law or (iii) who is an individual set forth on Section 1.01(b) of the Disclosure Letter, including in all cases, each such employee who as of the Applicable Closing Date is on leave of absence (including medical leave, military leave, workers compensation leave and short-term or long-term disability) or vacation; provided that such employee returns to work within 180 days after the Applicable Closing Date or is otherwise entitled to reinstatement under any applicable Law upon presenting themselves for duty to the Business; provided, further, that any individual set forth on Section 1.01(c) of the Disclosure Letter shall not be an “Employee of the Business”. For the avoidance of doubt, the Closing Date applicable to each such employee shall be the Closing Date applicable to the Country Unit in which such employee is primarily employed.
Employee of the Business means each employee of Seller or its Affiliates (i) who is primarily dedicated to the Business or (ii) whose employment is expected to transfer to Purchaser or one of its Affiliates on the Closing Date by operation of applicable Law or pursuant to the transfer of the Transferred Equity Interests to Purchaser, including each such employee who as of the Closing Date is on leave of absence (including medical leave, military leave, workers compensation leave and short-term or long-term disability) or vacation; provided that any individual set forth on Section 9.06(b)(ii) of the Seller Disclosure Letter shall not be an “Employee of the Business”.
