Tax Shelter Language. Notwithstanding anything in this letter to the contrary, the information subject to this letter shall not include, and each party may disclose without limitation of any kind, any information with respect to the U.S. Federal income tax treatment and US Federal income tax structure (in each case, within the meaning of US Treasury Regulation Section 1.6011-4) of the transactions contemplated in this letter or in any of the other Finance Documents and all materials of any kind (including opinions or other tax analyses) that are provided to the Agent or such Lender relating to such tax treatment and tax structure (it being understood that this authorisation is retroactively effective to the commencement of the first discussions between or among any of the parties regarding the transactions contemplated by this letter or by any of the other Finance Documents); provided that with respect to any document or similar item that in either case contains information concerning the US Federal income tax treatment or US Federal income tax structure of the transactions as well as other information, this sentence shall only apply to such portions of the document or similar item that relate to the US Federal income tax treatment or US Federal income tax structure of the transactions contemplated in this Undertaking or in any of the other Finance Documents.
