Tenured Unit I members. Unit I members with certificates issued prior to July 1, 1995, shall continue to be rated at least once every two years. 1) Unit I members holding a Standard Professional Certificate (SPC) issued on or after July 1, 1995, shall be rated at least once annually. 2) Unit I members holding an Advanced Professional Certificate (APC) issued on or after July 1, 1995, shall receive a rating at least twice during the validity period of each certificate. The first rating shall occur during the initial year of the certificate. The 2nd rating shall occur in the 3rd or 4th year of the rating period, determined by the birth year of the Unit I member. 3) Unit I members who receive an unsatisfactory overall rating shall be rated at least once annually until receiving a satisfactory rating. 4) Unit I members who receive an overall rating of satisfactory or better subsequent annual performance shall be considered to be satisfactory in the absence of an annual evaluation.

Tenured Unit I members. On a 3-year evaluation cycle, tenured teachers shall be evaluated at least once annually in the following ways: 1) In the first year of the evaluation cycle conducted under these regulations, tenured teachers shall be evaluated on both professional practice and student growth; 2) If in the first year of the evaluation cycle a tenured teacher is determined to be highly effective or effective then in the second year of the evaluation cycle, the tenured teacher shall be evaluated using the professional practice rating from the previous year and student growth based on the most recent available data; 3) If in the second year of the evaluation cycle a tenured teacher is determined to be highly effective or effective, then in the third year of the evaluation cycle, the tenured teacher shall be evaluated using the professional practice rating from the previous year and student growth based on the most recent available data; 4) At the beginning of the fourth year, the evaluation cycle shall begin again as described in §b (1) (3) above; and 5) In any year, a principal may determine, or a tenured teacher may request that the evaluation be based on a new review of professional practice along with student growth.

  • Multi-Member The Members, or their designees, shall maintain complete and accurate records and books of the Company’s transactions in accordance with generally accepted accounting principles. The Company shall furnish each Member, within seventy-five days after the end of each fiscal year, an annual report of the Company including a balance sheet, a profit and loss statement a capital account statement; and the amount of such Member’s share of the Company’s income, gain, losses, deductions and other relevant items for federal income tax purposes. The Company shall prepare all Federal, State and local income tax and information returns for the Company, and shall cause such tax and information returns to be timely filed. Within seventy-five days after the end of each fiscal year, the Company shall forward to each person who was a Member during the preceding fiscal year a true copy of the Company’s information return filed with the Internal Revenue Service for the preceding fiscal year. All elections required or permitted to be made by the Company under the Internal Revenue Code, and the designation of a tax matters partner pursuant to Section 6231(a)(7) of the Internal Revenue Code for all purposes permitted or required by the Code, shall be made by the Company by the affirmative vote or consent of Members holding a majority of the Members’ Percentage Interests. Upon request, the Company shall furnish to each Member, a current list of the names and addresses of all of the Members of the Company, and any other persons or entities having any financial interest in the Company.

  • Membership Units The Company is initially organized with One (1) class of Membership Interests, designated in Units, which Units are initially the only class of equity in the Company. The Units shall have no par value and shall be of a single class with identical rights. The Company shall have a first lien on the Units of any Member for any debt or liability owed by such Member to the Company. Additional and different classes of Membership Interests represented by different Units may be created and issued to new or existing Members on such terms and conditions as the Governors may determine.
