Term Resignation by Manager. 10.1 This Agreement shall come into force on the date hereof and, subject to the provisions of Section 11 hereof, shall continue in force with respect to a Managed Container until the earliest to occur of (i) the destruction or loss of such Managed Container by its Lessee or other third party, (ii) the sale or other disposition of such Managed Container by Manager pursuant to the terms of this Agreement, (iii) the date on which such Managed Container is repurchased or replaced pursuant to the terms of the Purchase Agreement, and (iv) the Agreement Termination Date.

Term Resignation by Manager. 10.1 This Agreement shall come into force on the date hereof and, subject to the provisions of Section 11 hereof, shall continue in force with respect to a Managed Container until the earliest to occur of (i) the receipt by the Manager of casualty loss or insurance proceeds (if any) with respect to such Managed Container following the destruction or loss of such Managed Container by its Lessee or other third party, (ii) the sale or other disposition of such Managed Container by Manager pursuant to the terms of this Agreement, (iii) the date on which such Managed Container is repurchased or replaced pursuant to the terms of the Purchase Agreement, and (iv) the Agreement Termination Date.

  • Termination by Resignation Subject to Section 3.2, below, Executive’s employment and the Company’s obligations under this Agreement shall terminate automatically, effective immediately upon Executive’s provision of written notice to the Company of Executive’s resignation from employment with the Company or at such other time as may be mutually agreed between the Parties following the provision of such notice.

In addition, Executive will not be entitled to receive any other Severance Benefits described in Section 7.2, above. The provisions of this Section 7.4 shall not apply to Executive’s resignation for Good Reason.

  • Termination for Cause; Resignation If Executive’s employment terminates due to a Termination for Cause (as defined below) or a Resignation (as defined below), Base Salary earned but unpaid as of the date of such termination will be paid to Executive in a lump sum and the Company will have no further obligations to Executive hereunder. In the event any termination of Executive’s employment for any reason, Executive if so requested by the Company agrees to assist in the orderly transfer of authority and responsibility to Executive’s successor.
