Termination By Employee During Term. In the event Employee terminates his employment during the Term, all of Employee’s rights to his Base Salary, Benefits (except to the extent any Benefits are expressly available following such event) and Bonus, if any, shall immediately terminate as of the effective date of termination, except that Employee shall be entitled to any earned and unpaid portion of his Base Salary and accrued Benefits up to the date of termination. Employee shall not be entitled to any Bonus, prorated or otherwise. The Company shall have no further obligations to Employee under this Agreement.

Termination By Employee During Term. (i) The Employee may voluntarily terminate employment with the Company without reason at any time during the Term, and shall be entitled to (w) earned but unpaid Base Salary to the date of termination, (x) any pro rata bonus (as and when determined and as otherwise payable under the Bonus Plan) for the partial calendar year to the date of termination, (y) any unpaid vacation and unreimbursed expenses otherwise payable hereunder, and (z) the amount set forth in Column A of Schedule 1, corresponding to the line representing the calendar month in which the termination has occurred. All payments shall be made within 30 days of Employee’s termination of employment, except for the pro rata bonus, which shall be paid within 21/2 months of the end of the fiscal year in which the termination occurred. Except for the foregoing payment amounts or as otherwise contemplated by the provisions of Section 6(g), Employee shall be entitled to no other compensation, benefits or payments. (ii) Notwithstanding the forgoing, the Employee may voluntarily terminate employment with the Company if such termination is for “Good Reason,” as defined below. In such event, the Employee shall not receive the payments described in Section 6(d)(i) above but will instead receive payments equal in amount to those which the Employee would have received if his employment had been terminated by the Company without Cause pursuant to Section 6(e) on the date on which the Employee delivers his written notice of termination under this Section 6(d)(ii) (as described below). For purposes of this provision, Good Reason shall mean the occurrence, without the Employee’s consent, of any of the following events: (w) the assignment to the Employee of duties that are significantly and materially different from, and that result in a demotion of the Employee or a substantial diminution of, the duties specified in Section 3 of this Agreement, (x) any requirement by the Company that the Employee relocate more than 50 miles from the Employee’s workplace without the consent of the Employee, in which Good Reason shall be deemed to have occurred on the date the Company communicates such requirement (either in writing or otherwise), (y) any failure by the Company to provide the Employee with the compensation and benefits described in Section 4 (including any reduction in the Employee’s Base Salary in violation of Section 4(a)), or (z) a material breach of this Agreement by the Company (including the failure of any s...
Termination By Employee During Term. The Employee may voluntarily terminate employment with the Company without reason at any time during the Term, and shall be entitled to (i) earned but unpaid Base Salary to the date of termination, (ii) in the discretion of the Board upon the recommendation of the Compensation Committee, and within the range contemplated by Section 4(b), any pro rata bonus for the partial calendar year to the date of termination, (iii) any unpaid vacation and unreimbursed expenses otherwise payable hereunder, and (iv) any amounts Employee is entitled to pursuant to the SERP. Unless otherwise required, and subject to the provisions of Section 8(a), all payments shall be made within 30 days of Employee’s termination of employment, except for the pro rata bonus, which shall be paid within 2½ months of the end of the fiscal year in which the termination occurred, and except that any amounts due the Employee from the SERP shall be payable at such times and in the manner as set forth in the SERP. Except for the foregoing payment amounts, Employee shall be entitled to no other compensation, benefits or payments.

  • Termination by Employee In the event Employee terminates this Agreement, the Company shall be obligated to pay Employee that pro-rata portion of his current semi-monthly Base Salary payment, as adjusted for any increase thereto, which is earned but unpaid as of the Termination Date, any earned but unpaid incentive compensation, any accrued but unpaid paid time off (“PTO”) due to him through the Termination Date and any unreimbursed expenses. Employee will not be entitled to, nor will he receive, any type of severance payment, unless he has Good Reason, as defined below, to terminate this Agreement. If Employee has Good Reason then he shall receive the severance outlined in subsection (B)(ii)(b) below addressing Termination by the Company without Cause, subject to its requirements for receipt of such payment. If Employee terminates Employee’s employment pursuant to this subsection (B)(i), then the Company, at its option, may require Employee to cease providing services during the thirty (30) day notice period required therein; provided, however, for purposes of calculating payment upon termination under this Agreement, Employee shall be treated as if he was employed during such thirty (30) day period. “Good Reason” shall mean (1) a material involuntary reduction in Employee’s duties, authority, reporting responsibility or function by the Company, (2) a material reduction in Employee’s compensation package other than as mutually agreed, (3) Employee’s involuntary relocation to a principal place of work more than thirty (30) miles from Charlotte, North Carolina or (4) a material breach by the Company of its obligations hereunder, provided that, upon the occurrence of any of these acts or omissions, Employee gives the Company notice of his belief that he has Good Reason to terminate this Agreement and the Company fails to cure within thirty (30) business days of receipt of Employee’s notice.

  • Termination by Death or Disability In the event of the Executive’s death or total disability (as defined in Section 22(e)(3) of the Internal Revenue Code of 1986, as amended) during the Term, the Term and Executive’s employment shall terminate on the date of death or total disability. In the event of such termination, the Company’s sole obligations hereunder to the Executive (or the Executive’s estate) shall be for unpaid Base Salary, accrued but unpaid bonus and benefits (then owed or accrued and owed in the future), a pro-rata bonus for the year of termination based on the Executive’s target bonus for such year and the portion of such year in which the Executive was employed, and reimbursement of expenses pursuant to the terms hereon through the effective date of termination, each of which shall be paid within 10 days following the date of the Executive’s termination, and any unvested portion of any Equity Grants shall immediately be forfeited as of the termination date without any further action of the Parties.

  • Termination by Employer (i) Employer may terminate this Agreement upon written notice for Cause. For purposes hereof, "Cause" shall mean (A) engaging by the Employee in conduct that constitutes activity in competition with Employer; (B) the conviction of Employee for the commission of a felony; and/or (C) the habitual abuse of alcohol or controlled substances.
