Termination for Procurer Event of Default. 10.4.1 Upon the occurrence and continuation of any Procurer Event of Default pursuant to Article 10.2.1(ii), the Seller shall follow the remedies as provided under this Agreement; 10.4.2 Without in any manner affecting the rights of the Seller under Article 10.4.1, on the occurrence of any Procurer Event of Default specified in Article 10.2, the Seller shall have the right to deliver to the Procurer , a Seller Preliminary Default Notice, which notice shall specify in reasonable detail the circumstances giving rise to its issue; 10.4.3 Following the issue of a Seller Preliminary Default Notice, the Consultation Period of ten (10) days or such longer period as the Parties may agree, shall apply and it shall be the responsibility of the Parties to discuss as to what steps shall be taken with a view to mitigate the consequences of the relevant Event of Default having regard to all the circumstances; 10.4.4 During the Consultation Period, the Parties shall continue to perform their respective obligations under this Agreement; 10.4.5 After a period of seven (7) days following the expiry of the Consultation Period and unless the Parties shall have otherwise agreed to the contrary or the Procurer Event of Default giving rise to the Consultation Period shall have ceased to exist or shall have been remedied, the Seller may choose to terminate the Agreement by giving a written Termination Notice of thirty (30) days to the Procurer. In such case, the Seller shall be free to sell the Contracted Capacity to any third party of the Seller’s choice; Provided that the Procurer shall have the liability to make payments for full Tariff Payments for the period upto which the electricity is being supplied, if any, to the Procurer.

Termination for Procurer Event of Default. Save as otherwise provided in this Agreement, in the event that any of the defaults specified below shall have occurred, and Procurer fails to cure the default within the Cure Period set forth below, or where no Cure Period is specified, then within a Cure Period of 60 (Sixty) days, Procurer shall be deemed to be in default of this Agreement (a “Procurer Event of Default"), unless the default has occurred solely as a result of any breach of this Agreement by Developer or due to Force Majeure. The defaults referred to herein shall include the following: a) Procurer has unreasonably withheld or delayed grant of any approval or permission which the Developer is obliged to seek under this Agreement, and thereby caused or likely to cause Material Adverse Effect; b) Procurer is in material breach of any of its obligations, under this Agreement and has failed to cure such breach within 60 (Sixty) days of receipt of notice thereof issued by the Developer and which has led to the Project forfeiting the benefits accruing under Applicable Law; c) Xxxxxxxx has unlawfully repudiated this Agreement or otherwise expressed its intention not to be bound by this Agreement; d) Any representation made or warranty given by Procurer under this Agreement has been found to be false or misleading.

Termination for Procurer Event of Default. (a) Without prejudice to any other right or remedy which the SPD may have in respect thereof under this Agreement, upon occurrence of a Procurer Event of Default, the SPD shall be entitled to terminate this Agreement by issuing a Termination Notice to the Procurer, with a copy to RUMSL, in accordance with this Article. (b) The SPD shall issue a Preliminary Notice to the Procurer, with a copy to RUMSL, providing 60 (sixty) Days from the date on which the Preliminary Notice is delivered to the Procurer to cure the breach set out in Article 12.3. If the Procurer fails to cure the underlying breach within such period allowed, then the SPD shall be entitled to terminate this Agreement by issuing a Termination Notice to the Procurer, with a copy to RUMSL.

For all purposes of this Trust Indenture, in the absence of Actual Knowledge on the part of the Mortgagee, the Owner Trustee or the Owner Participant, the Mortgagee, the Owner Trustee or the Owner Participant, as the case may be, shall not be deemed to have knowledge of a Default or an Event of Default (except, in the case of the Mortgagee, the failure of Lessee to pay any installment of Basic Rent within one Business Day after the same shall become due, if any portion of such installment was then required to be paid to the Mortgagee, which failure shall constitute knowledge of a Default) unless notified in writing by Lessee, the Owner Trustee, the Owner Participant or one or more Note Holders.

  • Action if Other Event of Default If any Event of Default (other than any Event of Default described in clauses (b) through (d) of Section 8.1.5 with respect to the Borrower) shall occur for any reason, whether voluntary or involuntary, and be continuing, the Facility Agent, upon the direction of the Required Lenders, shall by notice to the Borrower declare all of the outstanding principal amount of the Loan and other Obligations to be due and payable and/or the Commitments (if not theretofore terminated) to be terminated, whereupon the full unpaid amount of the Loan and other Obligations shall be and become immediately due and payable, without further notice, demand or presentment, and/or, as the case may be, the Commitments shall terminate.

  • Waiver of Event of Default The Majority Certificateholders may, on behalf of all Certificateholders, by notice in writing to the Trustee, direct the Trustee to waive any events permitting removal of any Master Servicer under this Agreement, provided, however, that the Majority Certificateholders may not waive an event that results in a failure to make any required distribution on a Certificate without the consent of the Holder of such Certificate. Upon any waiver of an Event of Default, such event shall cease to exist and any Event of Default arising therefrom shall be deemed to have been remedied for every purpose of this Agreement. No such waiver shall extend to any subsequent or other event or impair any right consequent thereto except to the extent expressly so waived. Notice of any such waiver shall be given by the Trustee to the Rating Agency.

  • Additional Event of Default The following will constitute an additional Event of Default with respect to Party B: "NOTE ACCELERATION NOTICE. A Note Acceleration Notice is served on Party B in relation to the Relevant Notes."

  • SUSPENSION & TERMINATION FOR DEFAULT Enterprise Services may suspend Contractor’s operations under this Master Contract immediately by written cure notice of any default. Suspension shall continue until the default is remedied to Enterprise Services’ reasonable satisfaction; Provided, however, that, if after thirty (30) days from such a suspension notice, Contractor remains in default, Enterprise Services may terminate Contractor’s rights under this Master Contract. All of Contractor’s obligations to Enterprise Services and Purchasers survive termination of Contractor’s rights under this Master Contract, until such obligations have been fulfilled.
