Termination of Sublicense. The sublicense granted hereunder will expire upon termination of the Patent License Agreement between TCE and WORLDSPACE. In such case, WORLDSPACE will immediately notify TONGSHI, and WORLDSPACE will use its best efforts to negotiate a sublicense agreement for TONGSHI.
Termination of Sublicense. For the sake of clarity, in the event KaloBios materially breaches its diligence obligation in Section 4.6(b), Sanofi shall have the right to terminate the rights and licenses granted under this Agreement to KaloBios for the Licensed Product in the KaloBios Field, that is, to terminate the sub-license granted to KaloBios pursuant to Section 2.2(a) hereof. For clarity, this Section 13.2(c) shall apply irrespective of whether Sanofi exercises its Option under Section 4.9.
Termination of Sublicense. The sublicense terminates automatically on the filing of bankruptcy by Nulaid Foods, Inc. or upon the assignment of the license or any rights under it to the benefit of creditors or any pledge or hypothecation of the license. Xxxxxxx Foods shall have the right to terminate the sublicense granted by this Agreement by giving written notice upon the failure of Nulaid Foods, Inc. to make any payment required under this agreement when due, provided that Xxxxxxx Foods shall first have given written notice of said failure to Nulaid Foods, Inc. and Nulaid Foods, Inc. shall have failed to cure the non-payment within thirty (30) days of receipt of said notice. In order to preserve its right to contest whether a disputed payment is due, Nulaid Foods, Inc. shall have the right to cure any default in payment by paying Xxxxxxx Foods under protest.
Termination of Sublicense. Section 4.1 of the Sublicense Agreement is hereby deleted in its entirety and the sublicense to the Sublicensed Patent Rights and the Technology in the Field granted to Inpharzam therein is hereby terminated in all respects.
Termination of Sublicense. This Agreement will terminate immediately upon the termination of the Sublicense.
Termination of Sublicense. The sublicense granted to TV2 in accordance with Section 4.1 shall automatically terminate upon the expiration or termination of the license agreement between Boston and *** under which *** granted a license to Boston to the *** Know-How. Boston shall use commercially reasonable efforts to maintain its license from *** with respect to the *** Know-How and *** Patents in full force and effect, and shall not take any action (or fail to take any action) that would give rise to ***’s right to terminate such license, but excluding any such action (or inaction) that is caused by TV2’s failure to comply with Section 4.2 or Article 6. If Boston or its Affiliate receives any notice from *** that Boston or its Affiliates have committed any act (or omission) that would allow *** to terminate such license, Boston shall promptly disclose such notice to TV2.
Termination of Sublicense. Any sublicense granted by XXXXX under this Article 15 shall automatically and simultaneously terminate, without action by any party thereto, at the same time and to the same extent as any termination of this Agreement.
Termination of Sublicense. Upon any termination of this Agreement, the sublicense granted to Novartis, its Affiliates, and Penn in Section 2.01 shall terminate, and any sublicenses granted under Section 2.02 shall terminate concurrently.
Termination of Sublicense. WORLDSPACE shall keep in force and effect the Patent License Agreement between TCE and WORLDSPACE for the term of this Agreement and the sublicense granted hereunder shall not be terminated unless WORLDSPACE obtains a license agreement in favor of BPL for the reminder of the term under this Agreement.
Termination of Sublicense. Your sublicense to use the Program Marks shall terminate upon the earlier of (i) the termination of this Agreement, (ii) delivery of notice by us or by Discover Network to you of the termination of the sublicense, or (iii) termination of the license of the Program Marks by Discover Network to us. You must immediately discontinue use or display of the Program Marks, upon termina- tion of the License.
