Termination Upon Distribution to Certificateholders or Upon Purchase by the Call Right Holder. Subject to Section 7.02, this Trust Agreement and the respective obligations and responsibilities of the Depositor and the Trustee created hereby shall terminate upon the earlier to occur of (A) the final distribution to Certificateholders of all amounts required to be distributed pursuant to Article III or (B) the optional purchase by a Call Right Holder of the remaining Mortgage Certificates in the Trust Fund as described below; provided, however, that in no event shall the trust created hereby continue beyond the expiration of 21 years from the death of the survivor of the descendants of Xxxxxx X. Xxxxxxx, the late ambassador of the United States to the Court of St. James’s, living on the date hereof. The Call Right Holder (a) with respect to the Group 1 Mortgage Certificates may, at its option, purchase the Group 1 Mortgage Certificates from the Trust on any Distribution Date (which Distribution Date shall be the Final Distribution Date with respect to the Group 1 Certificates other than the Class 1-A-R Certificate) on which the certificate balance of such Mortgage Certificates as of such Distribution Date is less than 10% of the certificate balance of such Mortgage Certificates, (b) with respect to the Group 2 Mortgage Certificates may, at its option, purchase the Group 2 Mortgage Certificates from the Trust on any Distribution Date (which Distribution Date shall be the Final Distribution Date with respect to the Group 2 Certificates) on which the certificate balance of such Mortgage Certificates as of such Distribution Date is less than 10% of the certificate balance of such Mortgage Certificates, and (c) with respect to the Group 3 Mortgage Certificates may, at its option, purchase the Group 3 Mortgage Certificates from the Trust on any Distribution Date (which Distribution Date shall be the Final Distribution Date with respect to the Group 3 Certificates) on which the certificate balance of such Mortgage Certificates as of such Distribution Date is less than 10% of the certificate balance of such Mortgage Certificates, each as of the Underlying Distribution Date in December 2008 (after giving effect to any distributions thereon on such date), at a price (each, a “Termination Price”) equal to the sum of (i) 100% of the certificate balance of such Mortgage Certificates after giving effect to distributions on the Underlying Distribution Date immediately preceding such Distribution Date plus one month’s interest at the related Mortgage Certificate Inte...

  • Action by Certificateholders with Respect to Bankruptcy The Owner Trustee shall not have the power to commence a voluntary proceeding in bankruptcy relating to the Trust unless (i) the Notes have been paid in full and (ii) each Certificateholder approves of such commencement in writing in advance and delivers to the Owner Trustee a certificate certifying that such Person reasonably believes that the Trust is insolvent.

  • Prior Notice to Trust Certificateholders with Respect to Certain Matters Subject to the provisions and limitations of Section 4.4, with respect to the following matters, the Securitization Trust shall not take action unless at least thirty (30) days before the taking of such action, the Owner Trustee shall have notified the Trust Certificateholders in writing of the proposed action and prior to the 30th day after such notice is given the Trust Certificateholders shall not have notified the Owner Trustee in writing that such Trust Certificateholders have withheld consent or provided alternative direction:

The Securitization Trust may not, except upon the occurrence of a Servicer Default, subsequent to the payment in full of the Notes and in accordance with the written directions of Trust Certificateholders of Trust Certificates evidencing at least 662/3% of the Percentage Interests, remove the Servicer with respect to the 2017-3 Exchange Note or appoint a Successor Servicer with respect thereto.

  • Termination Upon Purchase by the Servicer or Liquidation of All Mortgage Loans (a) The Servicer may purchase the outstanding Mortgage Loans, all property acquired by the Trust in respect of any Mortgage Loan and all other property included in any REMIC formed under this Agreement at the price stated in clause (i) of the second paragraph of this Section 9.01(a) on or after the first date on which the aggregate Principal Balance of the Mortgage Loans is less than the Clean-Up Call Percentage of the aggregate Principal Balance of the Mortgage Loans as of the Cut-Off Date; provided, however, that the Servicer may not so purchase such outstanding Mortgage Loans and property if the price stated in such clause (i) exceeds the fair market value, determined by the Servicer in accordance with prudent industry practices, of such outstanding Mortgage Loans and property. If such right is exercised, the Servicer shall provide to the Trustee, the Delaware Trustee and the Company the written certification of an officer of the Servicer (which certification shall include a statement to the effect that all amounts required to be paid in order to exercise such right have been deposited in the Certificate Account) and the Trustee on behalf of the Trust shall promptly execute all instruments as may be necessary to release and assign to the Servicer the Mortgage Loans, all property acquired by the Trust in respect of any Mortgage Loan and all other property included in any REMIC formed under this Agreement. Xxxxxxx, the late ambassador of the United States to the Court of St. Xxxxx, living on the date hereof. On any Distribution Date after the first date on which the aggregate Principal Balance of the Mortgage Loans is less than the Clean-Up Call Percentage of the aggregate Principal Balance of the Mortgage Loans as of the Cut-Off Date, the Master Servicer may purchase the outstanding Mortgage Loans (other than Liquidated Mortgage Loans), all property acquired in respect of any Mortgage Loan remaining in the Trust and all other property included in any REMIC formed under this Agreement at the price stated in clause (i) of the preceding paragraph; provided, that the Master Servicer may not so purchase the outstanding Mortgage Loans (other than Liquidated Mortgage Loans), all property acquired in respect of any Mortgage Loan remaining in the Trust and all other property included in any REMIC formed under this Agreement if the price stated in clause (i) of the preceding paragraph exceeds the fair market value, determined in accordance with prudent industry practices, of all outstanding Mortgage Loans (other than Liquidated Mortgage Loans), all property acquired in respect of any Mortgage Loan remaining in the Trust and all other property included in any REMIC formed under this Agreement. If such right is exercised, the Master Servicer shall provide to the Trustee (and to the Company, if the Company is no longer acting as Master Servicer) the written certification of an officer of the Master Servicer (which certification shall include a statement to the effect that all amounts required to be paid in order to purchase the Mortgage Loans have been deposited in the Certificate Account) and the Trustee on behalf of the Trust shall promptly execute all instruments as may be necessary to release and assign to the Master Servicer the Mortgage Files and any foreclosed Mortgaged Property pertaining to the Trust. In no event shall the Master Servicer be required to expend any amounts other than those described in the first paragraph of this Section 9.01(a) in order to terminate the Trust or purchase the Mortgage Loans under this Section 9.01, and in no event shall the Company be required to expend any amounts in connection with such termination or purchase.
